16 Jan 2026joint venture update▲ GoodMajor
CRML signed a non-binding term sheet for a 50/50 joint venture with Saudi group TQB, taking the final 25% of Tanbreez concentrate. Combined with earlier deals, the announcement describes offtake as 100% secured; the processing facility is up to US$1.5 billion.
First 2025 Tanbreez assays from the Fjord and Upper Fjord areas show 0.40% to 0.47% rare earths with about 26-27% heavy rare earths. Mineralisation extends at least 1 km northeast from hole K-24 and stays open, supporting the planned resource upgrade.
CRML ordered a roughly US$1 million mobile assay laboratory for Tanbreez that gives full rare earth results in about 80 minutes, to cut delays seen with off-site labs. Operation in Greenland needs government approvals.
CRML approved construction of a multi-use storage and pilot-plant facility in Qaqortoq, Greenland, under a turnkey contract awarded to 60° North Greenland. It follows the pilot plant purchase in December and moves Tanbreez toward pilot operations.
CRML reported the final 2024 Fjord drilling results at Tanbreez, with grades of 0.39% to 0.54% rare earths and about 27% heavy rare earths. Results are meant to support a revised resource estimate; the announcement says there is no change to the current resource.
The replacement options offer closed with applications for 3,878,206 options (about 83% take-up). Directors will take the remaining 772,077 under their underwriting. This completes the small options offer opened 1 December.
CRML appointed Professor Tony Tang to independently review Tanbreez metallurgical work and bought a 300-500 kg/hr proof-of-concept pilot plant for about A$3 million, with commissioning expected in the second quarter of 2026.
CRML signed a term sheet for a 50/50 joint venture with Romania's state-owned FPCU, taking total Tanbreez concentrate offtake to 75% of future production. This is a non-binding-stage term sheet (inference), so definitive terms are still to come.
Prospectus for the replacement options offer, now only up to 4,650,283 new options at A$0.002 (about A$9,300), exercisable at A$0.08 to 31 Dec 2026. Directors fully underwrite it. Far smaller than the original 200M+ options plan.
Routine prospectus for a 1,000-share cleansing offer at A$0.20 and 6.1M EUROC options to advisors. It does not raise meaningful money; it is housekeeping for securities issues.
Only 4,650,283 EURO options went unexercised and expired on 14 November, so the underwriter takes that many shares at A$0.08 (about A$372,000). Nearly all other options were exercised, which is far fewer than the expected shortfall.
EUR signed an underwriting deal with Evolution Capital to take up any EURO options unexercised at expiry on 14 November, for a A$1 fee. 35,078,124 options remained, worth up to A$2.8M at A$0.08. Replacement options still need AGM approval.
EUR answered an ASX query about CRML's US$500M bitcoin note. It says the deal's conditions were never met (CRML price never reached US$6), it expired, and no bitcoin was bought. This resolves the January 2025 bitcoin treasury thread.
EUR restated the replacement options offer with 205,172,851 EURO options outstanding. It warns that holders who do not exercise before expiry risk losing value if shareholders reject the offer at the AGM. Directors plan to take 41.7M new options and underwrite.

EUR sold 3.03M more CRML shares at US$16.50 for US$50M (A$76M) net, as CRML closed a US$50M placement at the same price. EUR holds 53,036,338 CRML shares and says it has over A$190M in cash.
EUR sent optionholders the required expiry notice and corrected share price data: last price A$0.465 (15 Oct), up from the A$0.195 quoted in the first letter. 205,172,851 EURO options remain, expiring 14 November at A$0.08.
ASX paused trading in EUR shares pending a further announcement. No reason given in the notice. The next announcement says the halt should lift after further news on the options offer (inference: the pause is related).
EUR said the replacement options timetable last given on 8 October will probably change after consultation with ASX, with an update to follow. 208,772,851 EURO options still expire 14 November 2025 unless exercised.

EUR sold a further 3.85M CRML shares off-market at US$13 (12% below the prior close) for US$50M (A$76M) net. About 56M CRML shares remain, valued by management at about US$854M (A$0.89 per EUR share) at US$14.98.
CRML signed a non-binding letter of intent to supply REalloys with up to 6,750,000 tonnes of Tanbreez concentrate, about 15% of projected production. With the Ucore LOI, US customers are now covered for 25% of output. Definitive agreements are still pending.
EUR updated the replacement options offer: 208,772,851 EURO options now outstanding, with approval sought at the 26 November AGM instead of using placement capacity. Timetable revised, with the offer closing 25 November.

EUR sold another 3 million CRML shares off-market to one US institution at US$7.00, for US$21M (A$31.75M) net. About 60M CRML shares remain, valued by management at about US$689M at US$11.50, or A$0.73 per EUR share.
EUR plans a replacement offer: one new option (A$0.002 each, A$0.08 exercise, expiring 31 Dec 2026) for each expiring EURO option held. Directors will take 41.7M and underwrite up to 25% each. Director participation needs approval at the November AGM.
211,021,965 quoted EURO options (A$0.08) expire 14 November 2025, with quotation ceasing 10 November. The shares last traded at A$0.028, well below the exercise price, so exercise looks unattractive (inference).
FY25 annual report (year to 30 June 2025), lodged late, which led to the suspension being lifted. Chairman's letter recaps the CRML stake (~63M shares, about A$671M at US$7.02), the CRML share sales and stakes in Cyclone, Cufe and Moab. Financials not shown in the excerpt.

CRML amended its deal to lift Tanbreez ownership from 42% to 92.5% for a fixed 14.5M CRML shares to Rimbal (implied US$8.00), replacing a US$116M value formula. The US$10M spend condition is waived. Needs Greenland approval; completion expected Oct-Nov 2025. EUR keeps 7.5%.
ASX suspended EUR from 1 October for not lodging its annual report by the due date. This is EUR's third late-report suspension in about a year, after Oct 2024 and Mar 2025.
