On March 30, 2026 Agnico Eagle agreed to buy 19,315,300 units of Cascadia Minerals at C$0.26 each (C$5,021,978) in a private placement, plus 10,000,000 units from other sellers for C$2,600,000. On closing, expected around April 17, 2026, it would hold 29,315,300 shares and 14,657,650 warrants, about 14.21% of Cascadia shares (19.90% partially diluted). It also gets the right to earn 51% of Cascadia's Catch property in Yukon, with a further 29% available after a joint venture forms, and a three-year funded exploration alliance in Yukon's Stikine Terrane. This is a small new exploration position, similar to the earlier FireFox and ONGold stakes; closing is subject to TSX Venture Exchange approval.
Agnico Eagle issued an update on its 2025 exploration results and 2026 exploration plans, but the text provided contains only data-tagging code and no readable content. No figures, results or budgets can be reported from this filing.
Agnico Eagle completed its acquisition of 100% of O3 Mining on March 18, 2025, through an amalgamation with its subsidiary Agnico Eagle Abitibi Acquisition Corp.; O3 is now a wholly owned subsidiary. Other O3 shareholders receive C$1.67 in cash per share, and remaining warrants can be exercised for C$1.67 in cash. O3 shares are expected to be delisted from the TSX Venture Exchange around March 20, 2025. This completes the offer announced in December 2024.
Agnico Eagle agreed on Dec 12, 2024 to make an all-cash takeover offer of C$1.67 per share for O3 Mining, valued at about C$204 million on a fully diluted in-the-money basis. The offer was recommended by O3's board and special committee, and holders of about 22% of O3 shares agreed to tender. O3's main asset is the Marban Alliance property near Val d'Or, Quebec, next to Agnico's Canadian Malartic complex (acquired in full via the Yamana deal). The offer was to be open until Jan 23, 2025 and needs at least two-thirds of the shares not held by Agnico. Agnico already held 906,238 shares (~0.8%), 270,000 warrants and a C$10 million convertible debenture of O3. The filing also bundles a Dec 19, 2024 notice that the offer was launched. For a shareholder, this is a new cash outlay for a nearby project that Agnico says it could integrate with Canadian Malartic.
Agnico Eagle received 8,700,000 common shares of ONGold Resources (about 15.0%) on Dec 20, 2024, as payment for certain assets its subsidiary Yamana Gold Ontario Inc. sold to an ONGold subsidiary under a Nov 25, 2024 agreement. The release does not say which assets were sold or give a value. Agnico also gets rights to keep its stake in future financings (up to 19.99%) and to nominate a board member. This is a small disposal of assets from the Yamana acquisition.
Agnico reported Q4 and full-year 2023 results alongside an exploration update. 2023 gold production was a record 3,439,654 ounces, at the top of the 3.24-3.44 million guidance, and free cash flow was $947.4 million. Year-end 2023 gold reserves rose 10.5% to 53.8 million ounces, helped by an initial East Gouldie reserve and the acquisition of the remaining 50% of Canadian Malartic. Q4 had a net loss of $381.0 million including $667 million of impairments at Macassa and Pinos Altos. Guidance for 2024 is 3.35-3.55 million ounces, with capital spending of about $1.65 billion. This delivers on the earlier reserve-growth targets and the Odyssey South and East Gouldie plans.
Agnico Eagle bought 19,010,000 units of FireFox Gold Corp. (each a share plus a warrant) for about C$1,425,750 at $0.075 per unit, giving it about 10.9% of FireFox shares (19.6% partially diluted). Separately, its Finnish subsidiary gained the right to earn a 51% interest in FireFox's Kolho properties in northern Finland, with a right to acquire a further 24% after a joint venture is formed. This is a small new exploration position in Finland, where Agnico already runs Kittila.
Finland's Supreme Administrative Court on Oct 27, 2023 confirmed the 2020 environmental permits for the Kittila mine, restoring its operating rate to 2 million tonnes per year. This resolves the permit appeal that began when the Vaasa Administrative Court partly granted appeals in July 2022 and Agnico appealed in August 2022; no further appeals are available. The company now expects about 30,000 extra ounces in Q4 2023 and 2023 gold production near the upper end of its 3.24-3.44 million ounce guidance.
Agnico Eagle completed the Yamana deal on March 31, 2023: it now owns 100% of the Canadian Malartic mine (previously 50%), 100% of the Wasamac project in Quebec, and several exploration properties in Ontario and Manitoba. Pan American Silver acquired all Yamana shares as part of the same arrangement. This resolves the Yamana/Pan American thread from Nov 2022. The release says 2023 guidance, which assumed 50% ownership for three months and 100% for nine, matches the actual completion date. The release does not restate the US$1.0B cash or 36,089,907 share terms, which were set out earlier.
Agnico announced it filed an updated technical report for the LaRonde Complex under Canadian disclosure rules. The release gives no reserve, resource, production or financial figures, so there is no new quantified information in the filing itself.
Agnico filed a required Business Acquisition Report, dated May 9, 2022, about the completed Kirkland Lake Gold merger of Feb 8, 2022. It restates known terms (0.7935 Agnico share per Kirkland share; 209,274,263 shares issued, about 46% of Agnico post-closing; Kirkland's Detour Lake, Macassa and Fosterville mines) and attaches Kirkland's audited 2021 financials and Agnico pro forma statements. It adds no new transaction news and is unrelated to the Yamana deal; the report states Agnico has no current plans for material changes to the business. Among the figures shown, Kirkland had US$939.3 million cash at Dec 31, 2021.
Gold Fields terminated its agreement with Yamana, so the Pan American/Agnico arrangement agreement with Yamana is now effective on the terms announced earlier that day. The Nov 21 Yamana shareholder meeting is cancelled, and Yamana will pay Gold Fields a US$300 million termination fee, of which Pan American will fund US$150 million in cash. This resolves the competing-bid contest in Agnico's favour; the Agnico/Pan American deal itself still has to close.
Yamana signed the arrangement agreement for the Pan American/Agnico offer of Nov 4 and its board unanimously recommended shareholders vote against the Gold Fields deal at the Nov 21, 2022 meeting. Gold Fields waived its right to match but had not yet terminated its agreement, so the Pan American/Agnico agreement takes effect only if the Gold Fields deal fails the vote or Gold Fields terminates, in which case Yamana owes Gold Fields a US$300 million termination fee. This continues the Yamana bid, which is still conditional.
Agnico Eagle and Pan American Silver jointly delivered a binding offer to Yamana Gold: Pan American would buy all Yamana shares, and Yamana would sell its Canadian assets, including the Canadian Malartic mine, to Agnico. Agnico would put in US$1.0 billion in cash and issue 36,089,907 of its own shares, which would give it 100% of Canadian Malartic (it now holds 50%, the stake from the 2014 Osisko deal with Yamana). The release says no Agnico shareholder vote is needed and that Yamana's board judged the offer a 'Superior Proposal' versus an existing Gold Fields agreement dated May 31, 2022, subject to Gold Fields' right to match. For shareholders this means new cash outlay and new share issuance (dilution) in exchange for full control of the mine.
Agnico Eagle gave a mid-2022 exploration update with drill results at Detour Lake (from the Kirkland merger), East Gouldie/Odyssey, Hope Bay, and the Kirkland Lake region, and approved a supplemental $30 million exploration budget for 2022. Odyssey South pre-commercial production is expected before the end of March 2023 with an initial reserve estimate at year-end 2022; the Upper Beaver study is now expected to be updated in 2023 (earlier expectation was 2022). Year-end 2021 reserves were about 25.7 million ounces for Agnico alone and 18.9 million ounces for Kirkland before the merger. Ammar Al-Joundi is now President and CEO in this release (the merger release named Makuch as CEO), which conflicts with the earlier leadership line; the filing does not explain the change.
Agnico Eagle published its 2021 Sustainability Report, covering health and safety, environment and governance, with data from both legacy Agnico and legacy Kirkland Lake operations after the Feb 8, 2022 merger. It cites zero significant environmental incidents, $10.0 million in community investment, $1.6 billion in local procurement and a net-zero by 2050 commitment. No financial or operating figures affecting shareholders are given.

Agnico Eagle received TSX approval for a share buyback (normal course issuer bid) running May 4, 2022 to May 3, 2023, allowing purchases for cancellation of up to the lesser of 5% of shares or US$500 million. Based on the April 28 price of $55.85, that is 8,952,551 shares, about 1.96% of the 455,706,160 shares outstanding. It will be funded from existing cash, and the company may suspend it at any time. This is the first buyback seen in the history, and the first post-merger share count.
Agnico Eagle completed the merger with Kirkland Lake Gold on Feb 8, 2022, resolving the pending deal. It issued about 209,274,263 shares to former Kirkland holders at 0.7935 Agnico share per Kirkland share, giving a combined market cap of about US$22.4 billion. The company keeps the Agnico Eagle name and AEM listing, and operations now include Australia. Sean Boyd becomes Executive Chair, Anthony Makuch CEO and Ammar Al-Joundi President, with a reconstituted 13-member board. Kirkland shares are being delisted. Existing Agnico shareholders are now diluted into the larger company, as set out at announcement.
Agnico shareholders approved the share issuance for the Kirkland Lake Gold merger with about 99.86% of votes cast (170,255,128 for, 234,645 against; 69.62% turnout), and Kirkland shareholders also approved at their meeting the same day. This clears the shareholder-vote conditions. Closing still needs the final Ontario court order, Australian FIRB approval and other customary conditions, and is now expected in Q1 2022.
Agnico Eagle and Kirkland Lake Gold reminded shareholders to vote FOR the merger. Agnico holders must vote by 10:00 a.m. Toronto time on Nov 24, 2021 and Kirkland holders by 11:00 a.m. the same day; the virtual special meetings are set for Nov 26, 2021. This continues the merger process; the filing contains no new terms or results.
Agnico Eagle announced (press release dated Nov 10, 2021, filed Nov 15) that proxy adviser ISS recommends Agnico shareholders vote FOR the matters at the special meetings on the Kirkland Lake Gold merger. ISS cited sound strategic rationale and synergies, noting most production and reserves are in Canada, where both companies have a healthy operating record. This is the first of the two proxy-adviser endorsements, followed by Glass Lewis; the merger is still pending the shareholder vote and other approvals.
Agnico Eagle said proxy adviser Glass Lewis recommends Agnico shareholders vote FOR the Kirkland Lake Gold merger matters, and urged shareholders to vote before the 10:00 a.m. Toronto time deadline on November 24, 2021. With ISS also in favour, both leading proxy advisers now support the deal. This continues the merger process, which still needs the shareholder vote and other approvals.
Agnico Eagle gave a Q3 2021 exploration update with new drill results, including East Gouldie at Odyssey (Canadian Malartic), where the easternmost hole is 1.5 km east of the current resource, plus Upper Beaver, Meliadine, Amaruq, Hope Bay (seven rigs), Kittila and Santa Gertrudis. It repeats the record ~$163 million 2021 exploration budget (vs $113 million in 2020) and year-end 2020 reserves of 24.1 million ounces. The CEO expects the Upper Beaver results to have a meaningful impact on a 2022 project update. This continues the July exploration update and is separate from the pending Kirkland Lake merger.
Agnico Eagle filed the formal documents for the Kirkland Lake Gold merger: the material change report, the merger agreement dated Sept 28, 2021, and forms of support and voting agreements with certain directors and officers of each company. Conditions include a two-thirds Kirkland shareholder vote, a simple-majority Agnico shareholder vote on the share issuance, court approval, Canadian and Australian competition/foreign investment approvals, TSX/NYSE listing approval, and dissent rights not exceeding 5% of Kirkland shares. Either side owes a US$450 million termination fee and US$20 million expense reimbursement in certain circumstances if the deal fails, and each may keep paying quarterly dividends at existing rates. This continues the merger announced Sept 28.
Agnico Eagle announced a merger of equals with Kirkland Lake Gold: Kirkland shareholders get 0.7935 of an Agnico share per Kirkland share, and the combined company keeps the Agnico Eagle name. After closing, existing Agnico holders would own about 54% and Kirkland holders about 46%, so current Agnico shareholders are diluted to that share of a larger company. The release says it is expected to close in December 2021 or Q1 2022, gives combined reserves of 48 million ounces, and projects synergies of $0.8B over 5 years and $2B over 10 years (pre-tax). Both boards approved it unanimously; the Agnico share issuance needs an Agnico shareholder vote. This builds on the Kirkland Lake project (Upper Beaver) already held by Agnico.
Agnico Eagle gave a mid-2021 exploration update, with new drilling results at East Gouldie (Canadian Malartic's Odyssey project, including a new mineralized horizon about 400 m south), Upper Beaver in Kirkland Lake, Meliadine, Hope Bay, Kittila (deepest intercept at 1,957 m) and Santa Gertrudis. The 2021 exploration budget is about $163 million, up from $113 million in 2020, the largest in the company's history. Year-end 2020 gold reserves were 24.1 million ounces, with 15.3 million ounces measured and indicated and 23.4 million ounces inferred. The Odyssey underground project was approved by the Canadian Malartic partnership in February 2021, building on the 50% joint ownership with Yamana from the 2014 Osisko deal.
This 6-K, filed around March 31, 2021, mainly delivers the notice and management circular for the April 30, 2021 virtual annual and special shareholder meeting (directors, auditors, a stock option plan amendment, and an advisory vote on executive pay). It also attaches as an exhibit a note purchase agreement dated April 7, 2020 for US$200 million of senior notes: 2.78% Series A due 2030 and 2.88% Series B due 2032. This adds to the US$350M 2016 notes in the context; the visible text does not say how the money is used or give the split between series, and the document is truncated. Chris Vollmershausen now signs as General Counsel, replacing R. Gregory Laing in that role.
Agnico Eagle formed a 50-50 exploration joint venture with Newmont in Colombia, operated by Agnico, to explore the Anza project (about 200 km2, in the Mid-Cauca belt) and look for other gold targets. Agnico will fund alone until spending matches Newmont's earlier investment of about $2.9 million, expected within 12 months, then both fund equally. The filing describes it as a low-cost entry consistent with its existing investment in Royal Road Minerals; it is an exploration-stage venture with no resources stated.
Agnico Eagle said that under a Mexican government COVID-19 decree suspending non-essential businesses (mining counts as non-essential) until April 30, 2020, its Mexico operations (Pinos Altos, Creston Mascota and La India) are going on care and maintenance and Mexico exploration is suspended. It also reports a Kittila (Finland) employee testing positive on March 28, with underground work paused 72 hours and resumed March 31 while the mill kept running from stockpiles, Nunavut running at reduced staffing, and the Abitibi mines on care and maintenance until April 13, 2020 as ordered by Quebec. The company expects a timely restart once the decree is lifted; the filing gives no production or financial impact figures and does not change the 2019-era guidance in the context.
Agnico Eagle moved the record date for its quarterly dividend of $0.175 per share, payable December 16, 2019, from November 29 to November 27, 2019, because the New York Stock Exchange is closed for American Thanksgiving. The amount and payment date are unchanged. The $0.175 quarterly rate is higher than the $0.08 last seen in the context from 2016, and the filing does not explain the change. It has declared a dividend every year since 1983.
