History
Vitesse Energy listed in January 2023 as a non-operated Bakken oil company, then agreed its first major acquisition, the all-stock Lucero deal, which closed in March 2025.
2023-2024: Going public
Vitesse Energy, based in Greenwood Village, Colorado, owns non-operated stakes in oil and gas wells in the Bakken/Williston Basin. Non-operated means it shares in the wells' output while other companies run them. The exchange certified its securities for listing on 4 January 2023, clearing them to begin trading, and it was floated that January. The record for most of the following two years is quiet. The share count moved from 28,787,378 at the end of 2023 to 29,543,575 at the end of 2024, and the beats do not explain the change.
2024-2025: The Lucero deal
On 19 December 2024 Vitesse agreed to buy Lucero Energy, an Alberta-based oil and gas company, in an all-stock deal. Lucero holders would receive 0.01239 Vitesse shares for each Lucero share. This was Vitesse's first major acquisition since going public. Paying in shares rather than cash meant dilution: Vitesse's existing holders would own about 80.0% of the combined company and Lucero holders about 20.0%, on a fully diluted basis.
Vitesse filed a preliminary proxy statement on 21 January 2025, asking stockholders to approve the share issuance. The board unanimously recommended a yes vote. On 31 January it filed the final version and set an online special meeting for 5 March 2025, with a record date of 24 January. The share issuance needed a majority of votes cast, and the deal could not close without it.
The acquisition then closed. On 11 March 2025 Vitesse amended its credit facility to add Lucero subsidiary PetroShale (US) as a guarantor and raised its borrowing base, the limit on what it can borrow against its assets, from $245 million to $315 million. The share count stood at 38,673,632 at the end of 2025 and 42,104,317 at the end of 2026, though the beats do not explain those figures. As of its latest beat, on 11 March 2025, Vitesse was a larger combined company with a $315 million borrowing base.
