15 July 2026farm in farm out agreement▼ BadMajor
Trillion restructured the payment schedule on the farm-in it had signed only six months earlier to earn 29% of the M47 oil block in south-eastern Türkiye, buying room to spread its earn-in commitments into 2027 after advancing US$300,000. Renegotiating an earn-in that soon after signing says more about cash than about the block.
Trillion held its SASB gas field guidance at 7,547 mcf/d net for 2024 but pushed the six-well programme back three months, waiting on pumps and remanufactured wellheads to deal with water loading in the wells. A December engineering study had told it what to install; the equipment simply was not there yet.
Raised about $297,000 as employees and directors, including CEO Arthur Halleran, exercised stock options and warrants and RSUs vested - more insider-driven financing at full price rather than a discounted placement.
Amendment No. 1, two days later, re-dated the proxy to 27 October and restated the share register: 175,848,126 shares outstanding rather than 175,917,706, and 331 holders of record rather than 330. A sentence-level comparison turns up nothing else of substance -- the continuation itself is untouched.
Trillion registered a one-for-one exchange to move its legal home from Delaware to British Columbia by merger and continuation, aligning the domicile with a company already run from Vancouver and already listed on the Canadian Securities Exchange as TCF alongside its OTCQB quote. A special meeting was called for 17 December 2021 on a 15 November record date, and holders who object have appraisal rights under Delaware law.

Warrant holders exercised roughly CAD$2.4 million of warrants at $0.12, including about CAD$343,000 by two company officers - a meaningful cash infusion with insiders buying alongside outside investors.
Settled $599,816 of debt for shares priced at $0.30 each - six times the price of the 2020 raises, the clearest sign yet that the stock had recovered off its 2020 lows.
Raised roughly $716,000 combined across Canadian and U.S. private placements, settled $265,000 of debt in shares, and entered a new loan agreement - still priced near the depressed $0.05-0.06/unit levels.
Raised roughly $133,000 more and converted $277,000 of debt into shares, both at the same depressed ~$0.04/unit price, alongside a partial conversion of the 2019 debentures.
Raised CAD$750,000 in a private placement priced at just $0.05/unit - a fraction of the $0.20-$0.30 levels seen in 2017-18 - and amended the terms of 2019's $163,000 convertible debentures, both signs of continued cash strain.
The company, now renamed Trillion Energy International, changed auditors from Whitley Penn to Buckley Dodds; Whitley Penn's prior reports had flagged substantial doubt about the company's ability to continue as a going concern.
Closed another small private placement (about 971,000 shares at $0.10) for working capital.
What it means for a shareholder
971,000 new shares at US$0.100 to raise about US$97,100. That's 1.3% dilution: every existing holder's slice gets 1.3% smaller. If you held US$1,000 of shares (10,000 at the issue price), your slice goes from 0.014% to 0.0138% of the company. To keep it you'd need 136 more shares - about US$14 at the issue price.
Closed a smaller private placement, 2 million shares at $0.10, continuing to raise working capital.
What it means for a shareholder
2.0m new shares at US$0.100 to raise about US$200,000. That's 2.8% dilution: every existing holder's slice gets 2.8% smaller. If you held US$1,000 of shares (10,000 at the issue price), your slice goes from 0.0146% to 0.0142% of the company. To keep it you'd need 292 more shares - about US$29 at the issue price.

Park Place bought an additional 12.25% interest in the South Akcakoca Sub Basin (SASB) gas field in the Black Sea, bringing its stake to 49%, and outlined plans for workovers and new drilling to grow production there.

The Tiway acquisition closed: Park Place completed its $2.1 million purchase of three Turkish oil and gas producers, funded by the short-term loans and a new $1 million private placement, about 13 months after the deal was first agreed.
Park Place took on roughly $1.1 million in short-term, 10%-interest loans - including up to $580,000 from Parvez Tyab Family Trust, a holder of about 13.6% of its stock - to fund the closing of the Tiway acquisition.
Turkish regulators gave final approval for the Tiway acquisition, nearly a year after it was agreed; the assets were already producing about 300 barrels of oil equivalent per day (two-thirds gas). Park Place was still raising the cash to close, and separately awaiting a court ruling on its stalled Bulgaria coal-bed-methane license.
Park Place Energy agreed to buy three Turkish oil and gas subsidiaries from Tiway Oil B.V., a Dutch company in bankruptcy, for $2.1 million - its entry into Turkey, the country that became the company's core asset base. Closing depended on Turkish regulatory approval, expected by early 2016.
Amendment No. 2 dated the proxy 14 October 2015 and set the special meeting for 11 November 2015 in Dallas, filling in the blanks the previous versions had left.
Amendment No. 1 folded the whole 2014 annual report into the prospectus and delivered the legality and tax opinions the original had only promised in draft. It also spelled out something the reincorporation costs shareholders: under the Nevada bylaws holders of 20% of the voting power can call a special meeting, and under the proposed Delaware charter that threshold rises to 35%.
Park Place Energy proposed moving from Nevada into a new Delaware holding company by merger, each share converting one for one. The board's stated reasons are Delaware corporate law and the ability to hold future acquisitions structurally separate from the existing company; holders who object have dissenters' rights under Nevada law. The registration covers 45,731,482 shares outstanding plus 11 million warrants, 2.25 million options and 1,558,147 restricted units.
