Rex sold an additional $100 million of its 8.875% senior notes due 2020 at 105% of face value (plus accrued interest from December 12, 2012), for net proceeds of about $102.8 million, to fund part of 2013 capital spending and for general corporate purposes. It also cut the maximum commitments under its revolver from $300 million to $215 million, effective on closing. This adds to the $250 million of notes issued in December, bringing the notes to $350 million in total, and trades some bank capacity for bond debt.

Rex replaced its senior credit facility with an amended and restated secured revolver (KeyBank as agent) maturing March 27, 2018. The borrowing base is $325 million, but lender commitments are limited to $300 million, and the facility is secured by mortgages on oil and gas properties. It keeps the 4.25 to 1.00 debt to EBITDAX limit and also requires EBITDAX to interest of at least 3.0 to 1.0. This supersedes the facility last amended in November 2012 and follows the December 2012 repayment of the revolver with note proceeds.
