Rex Energy agreed on August 11, 2014 to buy about 208,000 gross (207,000 net) acres in western Pennsylvania and eastern Ohio from Shell affiliate SWEPI, LP, with a 100% working interest and operatorship, for about $120 million in cash. Closing is expected in September 2014, and either side can terminate if it has not closed by September 15, 2014. The press release says it expands the Butler Operated Area and includes about 16 MMcf/d of production; the company also announced an intended offering of convertible perpetual preferred stock via depositary shares, whose size and pricing are not in this filing and which would add a new class of equity.
