History
Nouveau Monde Graphite went from a New York listing and a feasibility study to a confirmed final investment decision on its Matawinie graphite mine in May 2026, funded by heavy share issuance.
2021-2022: Listing in New York and a Phase-2 study
In May 2021 Nouveau Monde Graphite (NMG) won approval to list on the New York Stock Exchange under the symbol "NMG", while keeping its TSX Venture listing (NOU). In June 2021 it closed a public offering of 7,915,000 shares at US$7.50, raising US$59.4 million. The money was for the Matawinie mine, a planned battery anode plant and working capital. A C$18.3 million private placement, part of the same financing, closed in July. Year-end 2021 shares stood at 55,118,316.
In 2022 the company secured a $5.75 million grant for a Phase-1 coating unit, built to make up to 2,000 tonnes a year of coated purified graphite. Commissioning slipped from the first half to around the end of the third quarter. In May it signed an investment agreement with Mason Graphite over the Lac Guéret property, buying up to C$5.0 million of Mason shares and gaining an option to earn 51% of the property by spending at least C$10.0 million.
In August NMG filed a feasibility study for Phase 2, covering the Matawinie mine and a plant at Bécancour. It showed an after-tax net present value (the value of future cash flows in today's money) of C$1,581 million, an after-tax return of 21% and initial capital cost of C$1,404 million. Cash was $32.1 million, and no offtake (a deal to buy the output) or financing was signed. In October NMG signed a framework agreement with Panasonic Energy and Mitsui, plus a non-binding memorandum for Panasonic to buy anode material. In November it closed US$50 million of convertible notes (loans that can turn into shares) from Mitsui, Pallinghurst and Investissement Québec (IQ).
2023-2024: Uatnan and binding partners
In January 2023 NMG and Mason released a preliminary economic assessment for the Uatnan project at Lac Guéret: about 500,000 tonnes a year of concentrate, an after-tax NPV of C$2,173 million and a 25.9% return. In April it sold 4,850,000 shares at US$4.55, about US$22 million, to take Matawinie and Bécancour toward a final investment decision (FID) and project financing.
In January 2024 NMG replaced the Mason option by buying 100% of Lac Guéret for 6,208,210 shares, plus C$5,000,000 payable at the start of commercial production. The deal closed on January 31. In February Panasonic signed a binding offtake for 18,000 tonnes a year of anode material for seven years and agreed to invest US$25 million for 12,500,000 shares and as many warrants. In December 2024 Canada Growth Fund and IQ closed a combined US$50 million placement; the Canada Growth Fund part was 19,841,269 shares plus matching warrants for US$25 million. Shares on issue rose to 152,261,189 by the end of 2024. The Mitsui and Pallinghurst convertible notes were cancelled in exchange for US$37.5 million of placements.
2025: A new study and a changed plan
In March 2025 NMG issued an updated Phase-2 feasibility study in US dollars: after-tax NPV of US$1,053 million, a 17.5% return, capital cost of US$1,326 million and reserves of 61.7 million tonnes at 4.23% graphite. Year-end 2024 cash was $106 million. The company said it was entering project financing, though conditions with Panasonic and GM were still unsettled.
The plan then shifted. In October, NMG announced binding term sheets with the Government of Canada for 30,000 tonnes a year of concentrate, a revised Panasonic offtake cut to 13,000 tonnes a year, and a Traxys agreement for 20,000 tonnes a year of concentrate. IQ's remaining note was still outstanding, with interest paid in shares. In December NMG raised about US$20 million by selling 8,333,334 shares at US$2.40, a small sum against the project's needs, for early construction, engineering and working capital.
2026: Financing and the investment decision
In March 2026 NMG signed a commitment letter for US$335 million of senior secured debt from Export Development Canada and the Canada Infrastructure Bank, covering the Matawinie mine alone. In April it announced an equity package at US$1.84 a share, below December's price. The receipt offering closed on April 16 with 52,440,000 subscription receipts, raising about US$96.5 million.
Shareholders approved the private placements on May 13, with disinterested holders about 99.4% to 99.6% in favour. On May 15 the US$213.16 million placement closed with Canada Growth Fund, IQ and new investor Eni. The receipts converted into shares, and NMG confirmed the FID for Phase-2 Matawinie. Equity totalled US$309.5 million, within about US$645 million of planned financing including debt.
As of May 15, 2026, 329,114,330 shares were outstanding, with Canada Growth Fund holding 19.54%, IQ 17.92% and Eni 11.56%. Construction had started, and the debt was described as available "when available", with definitive documents not shown as closed. IQ still held its US$12.5 million convertible note. A Bécancour plant FID was targeted for the second half of 2026.
