Noble signed an agreement on June 9, 2024 to acquire Diamond Offshore Drilling through two mergers, after which Diamond becomes an indirect wholly owned Noble subsidiary. Each Diamond share would convert into $5.65 in cash plus 0.2316 Noble shares (plus cash for fractional shares). Closing needs Diamond stockholder approval, antitrust approvals, an effective Form S-4 and NYSE listing of the new shares. Diamond would owe Noble a $60M termination fee in specified cases (for example, taking a superior proposal) and $16.5M if its stockholders vote the deal down. The end date is June 9, 2025, automatically extendable to Dec 9, 2025 and June 9, 2026 if only regulatory approvals are outstanding.
