History
Noble Corp plc was formed in 2022 to absorb Maersk Drilling, then bought Diamond Offshore in 2024, funding growth largely with bond debt and shares.
2021-2022: Building a new parent and buying Maersk Drilling
The record opens in December 2021, when Noble filed to combine with Denmark's Maersk Drilling under a November 10, 2021 agreement. A new UK holding company would sit on top. Noble shares would convert one-for-one, and Maersk Drilling holders would be offered 1.6137 new shares per share, or cash. Up to 136,418,442 shares were registered, including up to 66,630,827 for Maersk Drilling holders.
Noble holders approved the deal on May 10, 2022 with about 99% of votes cast in favour. On September 30, 2022 Noble merged into a subsidiary of the new parent, Noble Corporation plc, keeping the NE ticker. The Maersk Drilling offer expired with about 90.03% of shares tendered, and it closed on October 3, with a compulsory purchase of the remainder to follow. The year-end share count rose from 60,200,000 in 2021 to 134,680,941 in 2022, in line with this share-based combination. One oddity was never explained: some earlier filings cited an exchange ratio of 1.637 rather than 1.6137.
On October 5, Noble sold five jackup rigs (rigs that stand on legs on the seabed) to Shelf Drilling for $375 million in cash. It then replaced Maersk Drilling's $1.55 billion 2018 bank facility with a new $350 million term loan, fully drawn on December 22, 2022 alongside cash on hand.
2023: Bonds and a quiet year
In April 2023 Noble Finance II issued $600 million of 8.000% senior notes due 2030. Separately, the secured revolving credit facility (a borrowing line) was renegotiated, with commitments cut from $675 million to $550 million. The filings did not say how the note proceeds would be used. The only other major item was a June exchange certification clearing Noble's securities for listing. Shares on issue ended the year at 140,773,750.
2024: Buying Diamond Offshore
On June 9, 2024 Noble agreed to buy Diamond Offshore Drilling. Each Diamond share would receive $5.65 in cash plus 0.2316 Noble shares. To help fund the cash, Noble Finance II issued a further $800 million of the same 8.000% notes on August 22, taking that bond to $1.4 billion in total.
The deal closed on September 4, 2024. Noble paid about $591 million in cash and issued about 24.2 million shares. Diamond became a wholly owned subsidiary, renamed Noble Offshore Drilling, Inc., which took on Diamond's $500 million of 8.500% second-lien notes due 2030. Noble enlarged its board to nine and added Patrice Douglas. Year-end shares rose to 158,946,711.
2025-2026: Refinancing
The record for 2025 is quiet, and shares on issue were 158,853,799 at year end. On May 29, 2026 the revolver was amended, raising commitments from $550 million to $650 million and extending its maturity from April 2028 to May 2031. On June 1 Noble said it planned to offer $500 million of unsecured notes due 2034. On June 11 Noble Finance II instead issued $800 million of 6.250% senior notes due June 15, 2034. The filings did not explain the larger size or state the use of proceeds. As of June 12, 2026, Noble had 159,642,218 shares on issue at the latest year-end count, and the compulsory purchase of remaining Maersk Drilling shares had no recorded update.
