History
A small oil and gas shell that never completed its plans became a beverage-led holding company in 2025, then took on fintech stakes and discounted funding.
2017-2021: Late filings and abandoned plans
The company was then called American Oil & Gas Inc., based in Houston. Its plan had been to reactivate wells, but by November 2021 that plan had been abandoned. The record shows a string of late-filing notices in 2014-2015, and the company stayed behind on its overdue reports for years. On September 29, 2017 it hired Haynie & Company, PC as auditor after being told its previous auditor had retired, saying it had given Haynie what was needed to bring its filings current. Ronald Pantin Carvallo became CEO on June 13, 2017, with Shane Reeves staying on as CFO and President.
The filing also reported a non-binding letter of intent with PentaNova Energy Corp. to farm into the Sinu-9 block in Colombia. The company would take 50% of PentaNova's 80% working interest by funding the Phase I minimum work program over 3 years. No completion was reported.
On December 20, 2021 it signed another non-binding letter of intent, to buy NFTUS Corp. for 10,000,000 restricted shares, and said it would become NFiniTi Inc. Nothing closed under that letter, and the record is quiet for the next three years.
2025: Beverages, fintech and discounted funding
On February 13, 2025 NFiniTi closed a share exchange to buy Artisan Beverages, Inc., a ready-to-drink cocktail maker holding an exclusive TGI Fridays beverage license for the Western Hemisphere. To pay for it, it issued 15,788,578,500 new shares to Summit Consumer Products, 99.2% of the total, leaving existing holders with about 0.8%. The deal was treated as a reverse acquisition, with Artisan as the acquirer. Brian Johnston became President and CEO, Neville Joanes joined the board, and Michael Noble gave up his officer roles but stayed a director.
On May 20, 2025 the company added two subsidiaries. NFiniTi 1 Inc. acquired CyberSyn LLC, a pre-launch crypto exchange developer, and NFiniTi 2 Inc. acquired Metavox Holdings LLC, a web3 metaverse developer. In each, the sellers received 90% of the subsidiary and NFiniTi kept 10%. NFiniTi also issued each subsidiary a $500,000 convertible note, of which $250,000 was funded.
The same day it took a $1,000,000 convertible note from RH2 Equity Partners, of which $500,000 was funded, and signed a $20,000,000 equity line with RH2 to sell shares at 60% of a market-based price. As of May 23, 2025, financial statements for CyberSyn and Metavox were still owed by August 1, 2025, and the filings disagreed on whether NFiniTi was still a shell company.
