History
Lifezone listed on the NYSE in 2023 to build the Kabanga nickel project in Tanzania, and by July 2025 had its first reserves, a feasibility study and full ownership, but funding was still to be secured.
2023-2024: Listing and building the base
Lifezone Metals set out to develop the Kabanga nickel project in Tanzania and to refine its metals using its own Hydromet technology. On 6 July 2023 it closed a business combination with GoGreen Investments, a blank-check company, and began trading on the NYSE as LZM (shares) and LZMW (warrants). The deal brought in about $86.6 million gross, roughly $70.2 million from PIPE investors and $16.4 million from GoGreen's trust account. That came on top of BHP's previously announced $90 million into Kabanga Nickel Limited and $10 million into Lifezone Limited. Shares on issue stood at 78,269,952 at the end of 2023.
In December 2023 an updated resource estimate lifted Measured and Indicated resources 69% in tonnage to 43.6 million tonnes at 2.02% nickel, though there were still no mineral reserves. The same month Lifezone signed a term sheet with a Glencore subsidiary for a US joint venture to recycle platinum-group metals from used catalytic converters.
In March 2024 Lifezone received a licence for its planned Kahama refinery. Days later it closed in escrow a US$50 million convertible debenture placement, its first disclosed debt. The debentures run 48 months and can be converted at US$8.00 per share, which would dilute existing holders.
2024-2025: Delays and the BHP exit
The feasibility study, first expected by the end of September 2024, slipped. In December 2024 a new resource update showed attributable Measured and Indicated resources of 46.8 million tonnes at 2.09% nickel, but the company no longer reaffirmed the study date. It also said it was evaluating a Japanese investment and offtake under a JOGMEC memorandum of understanding.
On 18 July 2025 two things came together. Lifezone agreed to buy BHP's 17% stake in Kabanga Nickel Limited, ending BHP's earlier arrangements and leaving Lifezone with 100% of it. Payment is deferred, capped at $83 million, or $75 million if the resettlement plan is independently verified. BHP agreed to hold its Lifezone shares for 12 months. Lifezone also filed the feasibility study and declared the project's first reserves: 52.2 million tonnes at 1.98% nickel, supporting an 18-year mine life. On a 100% basis, pre-production capital is $942 million, with an after-tax value of $1.58 billion and a 23.3% return.
As of 18 July 2025, funding was still to be secured. A short-term financing package with Standard Chartered was described as well advanced, and project finance talks with Societe Generale were progressing. The chief executive targets a final investment decision in 2026. Shares on issue were 85,509,305 at the end of 2025.
