History
Joshua Gold Resources left the carbon business for Ontario gold exploration, bought and dropped claims through 2013, went quiet for six years, then bought more claims in 2019-2020 before deregistering in 2022.
2010-2012: From carbon offsets to gold
Joshua Gold Resources, formerly Bio-Carbon Systems International, began as a carbon-offset consulting and licensing business. In December 2010 it ended those agreements, citing uncertain North American regulation and economics. Control of the company changed hands: two directors resigned and sold their shares, leaving Ryan Bignucolo with 21.87% and Benedetto Fuschino with 19.61%.
The company turned to mineral exploration. It agreed to buy the Joshua Lake gold claim near Yellowknife for CDN $100,000 in instalments plus 1,000,000 shares. In June 2011 it agreed to buy the Firelake interests in Eric and Huffman townships, Ontario, for CDN $50,000, 2,000,000 shares and a 2% royalty on future production. In February 2012 it took a 50% interest in the Elijah Property from Shining Tree Resources, a prospect with no historical work, and in October 2012 it bought the 16-claim Kenty Gold Property from Brian McClay, with payments staged to April 2015. In December 2012 it ended the Joshua Lake deal, returning the property with no penalties after judging it not in its economic interest to continue.
Shares on issue rose from 92,859,893 at the end of 2011 to 278,579,678 a year later. The beats do not explain that jump, and the count was 81,262,996 at the end of 2013.
2013: Building the Ontario portfolio
In February 2013 the company bought the Kenty Property (Mortimer Claims) from Red Pine Exploration, with cash, 250,000 shares and royalties of 3% to Red Pine and 2% to Charlie Mortimer. In June it bought 18 Cree Lake claims in Swayze Township from Midnight Capital Corp. for CAD $200,000 and 1,500,000 shares. This was a related-party deal, as Midnight's owner, Scott Keevil, held 5.23% of the company. The claims had no known reserves, and Elcora Resources held an option to earn 51%. Later in the year the company also acquired graphite claims for 1,250,000 shares. No filings followed for about six years, and what became of the McClay, Red Pine, Firelake and Elijah obligations is not recorded.
2019-2022: A new start and deregistration
The record resumed in January 2020 with a new Woodstock, Ontario address and Benedetto Fuschino signing as President and CEO. On December 27, 2019 the company bought the leased King Solomons Mines property in Davis Township for 8 million restricted shares and a 2% royalty. In January 2020 it also bought the Borden North claims for 100,000 shares and, by May, the Halcrow, McCool and Seymour Lake claims for 1,000,000 shares. Shares on issue rose from 121,041,942 at the end of 2018 to 138,084,681 at the end of 2019.
In January 2020, 17 holders with 60,343,555 shares, about 49.9% of the total, signed an amended agreement limiting their sales until June 17, 2020, and six more holders were expected to sign. The company had also removed its registered shares from its S-1 registration. On August 3, 2022 it deregistered its securities, ending its obligation to file reports with the SEC. The company had 155,506,362 shares on issue at the end of 2022.
