On March 18, 2022 the company issued $157.5 million of convertible secured PIK toggle notes due 2026 under a new indenture with U.S. Bank Trust Company, and secured them on the same collateral as the Wells Fargo revolver. A new intercreditor agreement replaces the 2018 one and splits priority: the revolver lenders come first on accounts and cash, the noteholders first on equipment, intellectual property and pledged shares. The revolver was amended to remove references to the old term loan. The filing does not say that the notes repaid the term loan, though removing the term loan references to the revolver suggests this (inference). The notes are convertible, which could dilute shareholders.
