History
I-Minerals borrowed heavily from a director-controlled lender to advance its Idaho kaolin project, then sold the project to that lender in 2023 to settle its debt, leaving no operations.
2015-2018: Borrowing to hold the Idaho project
I-Minerals set out to develop the Helmer-Bovill kaolin property in Idaho (kaolin is a fine white clay). In March 2015 it closed a loan with BV Lending, LLC, a company controlled by director Allen Ball, for up to US$4,463,000 in tranches at 12% interest, with bonus shares and warrants for the lender. In December 2015 the company won final court approval of a settlement of the Idaho lawsuits. It paid Idaho Industrial Minerals US$100,000, and the other side acknowledged the company as sole owner of the mineral leases. It also added up to US$1,000,000 more of BV Lending loans, advanced in early 2016.
Shares on issue rose from 76,019,706 at the end of 2014 to 88,965,382 by the end of 2016, and reached 90,793,612 by the end of 2018. The beats do not itemise the causes of those increases. The record for 2017 and 2018 is otherwise quiet.
2019-2021: Reserves withdrawn, a new study
In March 2019 the company said the market was unlikely to support an operation as large as the one in its March 2016 Feasibility Study. That study was no longer current, and the reserves it reported should not be relied on. The company began assessing a smaller, phased approach focused on metakaolin and halloysite, and engaged SRK Consultants for an updated technical report.
In November 2019 BV Lending agreed to lend up to a further US$700,000 at 14%, with bonus shares of 6% of each advance. Earlier loans, which with interest totalled about US$26 million, were extended on the same terms. Repayment fell due on the earlier of June 30, 2020 and 60 days after a Pre-Feasibility Study was filed. In March 2020 the company announced the results of that study, though the filing gave no figures. Shares on issue stood at 93,730,212 from the end of 2020 onward.
2022-2023: Sale to the lender
In September 2022 the company agreed to sell all shares of its subsidiary i-minerals USA, which owns the Helmer-Bovill leases, to BV Lending for a US$3,000,000 share value, settled by setting off debt. About US$25.7 million of intercompany debt would be cancelled, and the balance of about US$35.4 million owed to BV Lending would be transferred to the company. BV Lending was a non-arm's length party holding about 39.4% of the shares. The final proxy said the company lacked the cash to repay the debt that was due February 15, 2023.
Shareholders approved the sale on March 2, 2023, with 93.37% of votes cast in favour (84.71% excluding interested parties). It was completed on March 3, 2023. The company no longer owns the project and was expected to have only a modest amount of cash and no substantive operations. It intended to explore new business opportunities, none of which had been announced. On March 24, 2023 it deregistered its securities with the SEC, ending its duty to file reports there.
