History
A shell company once called Lake Forest Minerals became a wellness brand buyer from 2021, funded by preferred shares and a loan that was declared in default in February 2024.
2021-2022: From shell to wellness buyer
The company, incorporated in Nevada in 2008 as Lake Forest Minerals Inc., had said since 2010 that its plan was to seek a merger or other business combination. Its share count stayed at 11,000,000 through 2020, and the record for those years is quiet. In August 2021, by then renamed The Healing Company Inc., it said it would narrow that search to holistic nutrition, though it had no definitive agreements.
Funding came through a new class of Seed Preferred Shares, sold at $2.00 each. These rank ahead of common shareholders in a liquidation, paid at 1.5 times their price, and carry no votes. A first tranche of 325,000 shares raised $650,000 in October 2021. A second tranche of 4,675,000 shares for $9,350,000 was reported in December, but a January 2022 amendment corrected this: shares are issued only when money arrives, and $8,350,000 was still owed by two subscribers, so the earlier filing overstated the cash received. Shares on issue rose from 11,000,000 to 44,000,000 in 2021.
In March 2022 the company bought NOEO GmbH, a German adaptogen (herbal wellness) products business, for EUR25,000. The seller, Anabel Oelmann, was a company director, making it a related-party deal. It ended the company's shell status. Simon Belsham had also replaced Larson Elmore as chief executive in January.
2022-2023: Building a brand portfolio
In August 2022 the company signed its first debt facility: term loans of up to $75,000,000 at 12% interest, secured over substantially all assets, with an upfront fee of $562,500 and a warrant over 1,300,123 Seed Preferred shares. In September it paid $2,000,000 plus a warrant for 1,500,000 common shares to buy loans of about $7.614 million owed by Your Super companies. In October it acquired Your Super's assets for 3,200,000 common shares valued at $8 million, plus forgiveness of that loan. It also agreed to sell 500,000 more Seed Preferred shares for $1,000,000, of which only $100,000 had been received. Shares on issue reached 50,904,920 by the end of 2022.
In March 2023 it bought assets of Chopra Global, LLC, covering digital, licensing and product businesses tied to Deepak Chopra. The price was up to $5,000,000 cash plus shares: $1,000,000 and 1,400,000 shares at closing, $2,500,000 due March 31, 2023, and up to three earnouts of $1,000,000 tied to revenue targets, plus a 5% royalty. Shares on issue were 58,194,920 at the end of 2023.
2024: Default on the loan
On February 15, 2024, the lender's agent, Westmount Group LLC, gave notice that the August 2022 credit agreement was in default and the debt was immediately due. Two monthly interest payments of $91,454.13, for November and December 2023, had been missed. About $4.37 million was owed, including $4,160,887.68 of principal, and remaining commitments were terminated. As of the filing on February 23, 2024, no repayment plan was stated, and Wanja Oberhof signed as Interim CEO.
