History
A Nevada shell named Inspired Builders drifted through failed real estate plans, then became Guskin Gold in 2020 and began alluvial gold work in Ghana.
2011-2013: Deals on paper
The company began as Inspired Builders, Inc. In October 2011 it signed a non-binding letter of intent with TRIG Special Purpose I, LLC to negotiate selling up to 10,000,000 new shares, about 90% of the company if completed. No definitive agreement had been signed, and later filings did not mention it.
In June 2013 the company turned to real estate. It agreed to buy undeveloped land in Duval County, Florida for $1,350,000, paying with a 3% $750,000 note and 100,000 shares valued at $6.00 each. It also reached an agreement in principle with NORe Capital to buy a $19,000,000 note secured on a Los Angeles hotel, and the board resolved to be treated as a real estate investment trust (REIT) for 2013. In December it agreed to buy a 60% interest in land in Lake County, Florida, and formed a joint venture to build a shopping center.
2014-2019: A quiet shell
In March 2014 the company said its June 2013 quarterly figures should no longer be relied on. The Duval land should be carried at its lower historical cost, and the seller was described as a related party, not the "third party" first stated. An amended filing was expected but was not seen. The record then goes quiet. Whether the Florida projects were completed is unconfirmed.
In December 2017 the company issued 90,000,000 shares to JJL Capital Management, LLC, owned by Scott Silverman, its sole officer and director, for services. It also raised authorized shares from 50,000,000 to 250,000,000. Existing shareholders were heavily diluted. The filing did not mention the real estate projects.
2020-2021: Becoming a gold company
In September 2020 the company agreed to acquire Guskin Gold Corp., which planned to look for gold and explore small-scale mining in Ghana. The deal closed on September 22, 2020, with 28,200,000 restricted shares issued for all of it, about 96.54% of the company after closing. The company said it was no longer a shell, and agreed to change its name to Guskin Gold Corporation and its ticker from ISRB to GKIN or similar. Naana Asante became CEO. An earlier audit report had raised doubt about the company's ability to continue.
In June 2021 it signed a joint venture with Africa Exploration & Minerals Group Limited (AEMG) over part of the Shewn Edged Pink Concession in Ghana. The company would advance $500,000 as a debt owed back by the partnership and issue 2,000,000 restricted shares valued at $0.25 each as milestones were met. Closing depended on a 45-day due diligence period and was not confirmed. In November 2021 the auditor, Liggett & Webb, resigned, with no disagreements.
2022-2024: Tepa and an auditor problem
In February 2022 the company signed a joint venture with Ensuro Group of Companies Limited for the 50-acre Tepa Concession, giving it a 70% interest. It had to fund the work and pay a 300,000 Ghana cedi access fee, treated as a loan.
In May 2022 the company reported share cancellations under October 2021 settlements. Consultant Akwasi Bonsu returned 2,250,000 shares and Edward Somuah's affiliate returned 956,440. Somuah resigned as director, CFO and Secretary. His linked shares went to Asante, who held 26,000,000 of 47,994,825 shares (54.17%).
In July 2022 the company announced the opening of the Tepa Gold Mine with two excavators and a twin sluice, giving no production figures. Its investor relations firm, Integrity Media, had resigned, and the company warned investors about promotions by unassociated parties.
On May 11, 2024 it dismissed its auditor BF Borgers after the SEC barred that firm from practicing before it. By July 11, 2024 the company had engaged Boladale Lawal & Co. as its new auditor, with 47,994,825 shares outstanding. It did not say whether earlier accounts would be re-audited. The AEMG closing, Tepa results and a survey at Kukuom remained unreported.
