History
Gold Royalty went public in 2021, bought its way to a portfolio of over 240 royalties using shares and debt, and by February 2026 had cleared its convertible debt and upsized its bank facility.
2021: Listing and a buying spree
Gold Royalty Corp., a subsidiary of GoldMining Inc., set out to build a portfolio of gold royalties, which pay a company a share of a mine's output without it running the mine. On March 11, 2021 it closed an IPO of 18,000,000 units at US$5.00, raising US$90.0 million gross, and began trading on NYSE American as GROY. GoldMining kept 20,000,000 shares, about 49%.
Acquisitions came quickly. In March it agreed to buy a 1.2% royalty on Roxgold's Séguéla project in Côte d'Ivoire for A$20 million; the records never confirm that it closed. In July it agreed to buy five Quebec royalties tied to Monarch Mining for C$15 million, and it agreed to take over Ely Gold Royalties for cash or shares. Ely holders approved with 99.52% of votes and a court approved the deal on August 23. In September it signed a commitment for a US$10 million revolving credit facility with Bank of Montreal, its first debt. In late October, holders of Golden Valley Mines and Royalties and Abitibi Royalties approved takeovers paid in Gold Royalty shares. Share count at the end of 2021 stood at 72,538,609.
2022: A failed bid, a first dividend and Nevada
In December 2021 Gold Royalty went public with an offer for Elemental Royalties, worth about C$130 million in shares, after Elemental did not engage with its proposals. The formal offer launched in January 2022. Meanwhile, on January 18 the company declared its first quarterly dividend of US$0.01 per share, noting its portfolio had grown from 17 to over 190 royalties since the IPO. On March 1 it completed a 0.75% royalty on part of IAMGOLD's Côté Gold project in Ontario for US$15.875 million, paid in US$15 million cash and 207,449 shares.
The Elemental offer expired in May and was terminated because its conditions were not met; the CEO said the company could not get the engagement needed for a board-supported deal. In September Gold Royalty bought Nevada Gold Mines royalties on Granite Creek and Bald Mountain for US$27.5 million, paid entirely in 9,393,681 new shares, making Nevada Gold Mines a major shareholder. Shares on issue rose to 143,913,069 by the end of 2022, reflecting the share-funded acquisitions.
2023-2024: Cash deals, convertible debt and copper
In February 2023 the bank facility was expanded to US$35 million in total, with National Bank of Canada joining. In July the company agreed to buy a 1.0% royalty on parts of the Cozamin mine in Mexico for US$7.5 million in cash, and said it expected the board to suspend the dividend to focus capital on acquisitions. The deal completed on August 31 and the dividend was suspended.
The largest move came in December 2023: US$31 million into Aura Minerals' Borborema gold project in Brazil, split between US$21 million for a 2% royalty and a US$10 million gold-linked loan. It was funded by US$40 million of 10% convertible debentures from Queen's Road Capital and Taurus, which could turn into shares. One Gold Royalty director, Warren Gilman, is chairman and CEO of Queen's Road Capital. The deal closed on December 20.
In May 2024 the company agreed to buy a copper stream on the Vares project in Bosnia and Herzegovina from Orion Mine Finance for US$50 million, US$45 million in cash and 2,906,977 shares, with funding from an equity offering and a larger credit facility. The share count rose to 170,205,124 by the end of 2024.
2025-2026: Clearing debt and adding Borborema
In February 2025 the bank facility was amended to a lower rate, with maturity extended to March 2028 and US$25 million of a US$30 million revolver drawn; the CFO said debt repayment remained the priority. In November 2025 the facility was raised to a US$75 million revolver, and as a condition the US$40 million of convertible debentures was redeemed early. The holders converted at US$1.75 into 23,288,896 new shares, and received a make-whole interest payment, 70% in cash and 30% in shares. No convertible debt remained.
On December 11 the company closed a bought-deal offering of 25,875,000 shares at US$4.00, raising US$103.5 million gross, taking shares outstanding to 223,375,625. The money was meant to fund a proposed royalty on the Pedra Branca copper-gold mine in Brazil, bought from BlackRock World Mining Trust; its closing is not confirmed in the records.
On January 14, 2026 Gold Royalty agreed to buy a second Borborema royalty from Dundee Corporation for US$45 million, US$30 million in cash and 3,571,429 shares at US$4.20, with Taurus wanting to take half for US$22.5 million. Closing was expected that month but is not confirmed, although a February release described Borborema as a 2.75% royalty. On February 20, 2026 the credit facility was amended again to a US$125 million revolver plus a US$25 million accordion, maturing November 2028; the amount drawn was not stated. At that date the company held over 240 royalties, and the dividend remained suspended.
