History
A failed breath-technology business pivoted into energy through a 2024 merger with Verde Bio Holdings, then relied on small loans and share-sale lines to stay afloat.
2023: The end of the breath technology
The company, then called Sensasure Technologies, had set out to commercialize patents on exhale breath technology. On November 1, 2023 it said that business was no longer feasible. It cited trouble raising capital, the cost of maintaining the patents and delays finding commercialization partners. It planned to start an energy business from October 31, 2023 and to wind up its Swedish subsidiary, Sensabues AB. On October 30 it had signed a three-month contractor agreement with Verde Bio Holdings, Inc. to study energy opportunities, for $100,000 in cash or restricted shares.
2023-2024: The Verde merger
On December 11, 2023 Sensasure and its subsidiary Formation Minerals Inc. signed a merger agreement with Verde. In February 2024 a side letter promised Spartan Capital Securities 5,000,000 shares, and the outside deadline moved to June 30, 2024. The March draft of the merger document left the ownership split blank. The April amendment filled it in: existing holders were expected to keep about 32.71% of the voting power and Verde holders about 68.29%, with both meetings set for May 9. The merger closed on that date. The company renamed itself Formation Minerals, Inc. and raised its authorized shares to 2,000,000,000. It issued 5,000,000 shares to Spartan and 23,110,000 to advisor Li Sze Tang. Scott Cox became sole director, President, CEO and CFO at $250,000 a year.
2024: Small loans and asset deals
The record then shows a company funding itself in small pieces. On May 14 it borrowed through a $123,050 note from 1800 Diagonal Lending, and on August 15 it took a second, $98,400 note. Both could become convertible into shares at a discount if the company defaulted. In June it agreed to sell up to 250 Class B convertible preferred shares to GHS Investments at $1,000 each, and 50 were sold at the first closing. In May it sold royalty interests for $140,000. On June 27 it agreed to buy oil and gas lease rights for $220,000, subject to financing, and the record does not confirm that this closed. On December 5 it sold lease rights to a private buyer for $75,000. On October 4 it issued 3,231,975 shares at $0.04 to settle $129,279 of stockholder loans, which took Li to 31.59% of the common stock. The share count rose from 56,349,183 at the end of 2023 to 99,112,508 at the end of 2024, a rise that coincides with the merger and these issues.
2025: Equity lines and a listing slip
On December 31, 2024 the company signed a $10.0 million equity line with GHS, letting it sell shares over 24 months at 80% of market price. On January 14, 2025 it signed a $1.0 million line with an unnamed investor. Neither had sold shares by the latest filings, and both needed an effective registration statement first. In March 2025 it also issued a $60,000 note to Alumni Capital for $50,000. On February 18, 2025 OTC Markets moved the shares to the Expert Market because a quarterly report was late. The company filed the report the same day, which moved it to OTC Pink, and it applied to return to the OTCQB. As of March 12, 2025 it described itself as an oil and gas company acquiring mineral and royalty interests, with 100,035,585 shares on issue at the end of 2025 per the feed. The wind-up of Sensabues AB and the return to OTCQB were still open.
