14 Apr 2026debt financing▼ BadMajor
On April 8, 2026 the company signed an Interim Promissory Note with Lode Star Gold (LSG), which the filing calls its largest shareholder and largest current debt holder. LSG has lent $74,811.50 as of March 30, 2026 plus further amounts after the filing, at 15.0015% a year (0.0411% daily, compounding) from April 1, 2026, maturing March 31, 2028, and is secured by the company's "Alpha-Optimus" project intellectual property (trademarks, copyrights, patents, trade secrets, software, goodwill). LSG filed a UCC-1 claim on that IP in Texas on April 1, 2026. This is new borrowing from the Walmesley-family-linked lender, and it gives LSG a claim on the company's software IP ahead of other holders. The filing does not say how the "Alpha-Optimus" project relates to the FinTradeSherpa software bought in 2025. The full agreements are not yet filed, only promised for an amendment or the next periodic report.

Lonnie Humphries, spouse of sole officer and director Mark Walmesley, is shown holding 29.01%. It also took an exclusive license from Predictive Technology for $440,000 payable at $5,000 a month, agreed to pay Arcterix $123,000 after an equity financing of at least $200,000, and converted $169,644.71 owed to LSG into 1,357,158 shares. The filing says the company has had no operations since the 2022 settlement with LSG, so this is a move from mining into software.

13 June 2022asset acquisition disposition▼ BadMajor
On June 6, 2022 the company and Sapir rescinded the December 2021 EGCG asset purchase and royalty agreements, because the company was unable to develop the business as contemplated; the filing says the preferred stock had not been fully issued and no royalty payments had been made. On June 8, 2022 the roughly $2.224 million debt to LSG forgiven in January was reinstated, and the company converted $2,601,207.55 of debt owed to LSG, Lonnie Humphries and Mark Walmesley into 70,302,906 new common shares at $0.037 per share (LSG received 62,769,918 shares). This reverses both the Sapir deal and the January debt forgiveness, and dilutes existing shareholders.

This resolves the option and the debt owed to LSG that had been open since 2014/2019 (later reinstated, see the June 2022 filing).

This is a new direction away from the Goldfield Bonanza mining option.
