History
enCore Energy spent 2025 reshaping its balance sheet: selling its New Mexico projects to Verdera, extending its Boss Energy loan, and raising $115.0 million in convertible notes.
2023-2024: Listing housekeeping
The record for these years is thin. On January 17, 2023, the exchange certified enCore Energy's securities for listing, clearing them to begin trading. On December 29, 2023, it did so again, and the same day the securities were notified for removal from listing and registration on the exchange they were leaving. The beats do not explain the reason for these notices. Shares on issue grew from 108,940,051 at the end of 2022 to 165,133,798 at the end of 2023 and 186,114,948 at the end of 2024, but the record does not say what drove those increases. 2024 itself is quiet.
2025: Restructuring and a new funding round
The story picked up in 2025. enCore's subsidiary owed uranium to Boss Energy, its joint venture partner at Alta Mesa, under a loan. On February 27, the repayment terms were changed: 118,000 pounds (including 18,000 pounds of interest) at $100.54 per pound in cash by February 26, then a further 100,000 pounds by June 27. The same filing reported updated technical reports on the South Texas, Gas Hills, Alta Mesa and Mesteña Grande projects. These were described as preliminary. Alta Mesa showed capital costs of $25.9 million and an after-tax value of $51.6 million; Mesteña Grande showed $108.1 million and $154.4 million.
On March 18, enCore agreed to sell its New Mexico uranium projects to Verdera Energy Corp. The Chairman's spouse sits on Verdera's board, so a committee of disinterested directors negotiated the deal and obtained a fairness opinion. The sale closed on April 8. enCore received US$350,000 in cash, 50,000,000 Verdera preferred shares (about 73% of Verdera on a fully diluted basis), and a 2% royalty. It plans to distribute 35,000,000 converted shares to its own shareholders once Verdera lists, and can buy the business back if that has not happened by December 10, 2025, extendable to January 31, 2026.
On July 3, the Boss loan was changed again. Repayment moved to December 27, 2025, a $3.6 million cash facility was added for Alta Mesa contributions, and the interest rate rose to 10.00%. Of the original $20.1 million, $11.9 million had been repaid and $10.4 million remained.
On August 22, enCore closed a $115.0 million sale of 5.50% convertible senior notes due 2030, with net proceeds of about $109.8 million. Of that, $11.5 million went to capped call transactions and about $10.6 million was intended to repay Boss. The notes convert at about $3.29 per share, so shareholders could be diluted. As of August 22, 2025, the repayment was an intention, not a confirmed payment, and the Verdera listing was still pending.
