History
A listed vehicle whose only asset was a stake in Enbridge Energy Partners, it raised money in 2013 to fund that stake and was bought out by Enbridge in December 2018.
2002-2013: A listing and two share sales
Enbridge Energy Management, L.L.C. was cleared by the New York Stock Exchange to list its securities on 7 October 2002. Its sole asset was an interest in Enbridge Energy Partners, held through units called i-units. The record then goes quiet for a decade, though the share count rose from 35,285,418 at the end of 2010 to 41,198,420 at the end of 2012.
In 2013 the company raised money twice, each time to buy more i-units in Partners. In February it agreed to sell up to 10,350,000 Listed Shares, including an underwriters' option. Nine million shares were priced for gross proceeds of about $245.6 million. Partners planned to use the money to repay commercial paper (short-term borrowing) and fund expansion. The company described its stake in Partners as about 13 percent.
In September it repeated the pattern, agreeing to sell up to 9,000,000 shares. Eight million were priced for about $232 million. The stake was then described as about 17 percent. Both sales diluted existing holders, and shares on issue rose from 41,198,420 at the end of 2012 to 62,580,105 at the end of 2013.
2014-2018: The Enbridge buyout
The beats show nothing more until 2018, though the share count kept climbing, reaching 98,611,093 by the end of 2018.
On 17 September 2018 the company agreed to be acquired by Enbridge Inc. Each Listed Share not already owned by Enbridge and its subsidiaries would become 0.335 Enbridge common shares. The deal depended on a majority vote of public holders and on Partners merging into an Enbridge entity at the same time. The special committee and the board both recommended a yes vote. A proxy statement dated 9 November set a special meeting for 17 December. On 8 November, Listed Shares had closed at US$10.76 and Enbridge shares at US$32.90.
Shareholders voted on 17 December, and the deal closed on 20 December 2018. Public holders received 0.335 Enbridge common share per Listed Share, and Enbridge issued 30,134,904 shares as consideration. The Partners merger closed the same day. The shares stopped trading on the NYSE, all seven directors resigned, and the company became a direct wholly owned subsidiary of Enbridge. On 31 December 2018 it terminated the registration of its securities, ending its reporting obligations.
