History
Circle Star bought Texas oil interests on borrowed money in 2011, failed to resell them, chased Kansas leases, and by 2014 was selling royalties and settling overdue notes.
2011: Buying JHE on borrowed money
The company, then called Digital Valleys Corp., closed its purchase of JHE Holdings, LLC from High Plains Oil, LLC on June 16, 2011. JHE owns small working and revenue interests in producing Texas oil and gas wells. The price was 1,000,000 shares to High Plains, 600,000 shares to the Edsels, $1,000,000 in cash, and a $7,500,000 promissory note at 5% to the Edsels, secured by a pledge of all JHE interests. A private placement of 4,800,000 units at $0.25, each a share plus a warrant, closed on June 15. The company admitted it lacked cash for the next $1,500,000 payment, due September 1, and could lose the properties. By September, now named Circle Star Energy Corp., it had issued $1,500,000 of 6% convertible notes due September 14, 2014, to pay a portion of that instalment. Shares on issue ended the year at 30,190,000.
2012: Reversals and Kansas ambitions
On December 30, 2011 the company agreed to sell JHE to Colonial Royalties, LLC for $9,350,000. Colonial missed its second payment and the company terminated the sale on February 6, 2012, having received only $100,000. It kept JHE and the right to pursue Colonial. To make the missed $2,000,000 payment to the Edsels, it issued $2,750,000 of 10% convertible notes due February 8, 2013.
The company then turned to Kansas. In March it agreed to buy Wevco Production's leases in Gove and Trego Counties for $5,000,000 plus 1,000,000 shares. In July it amended a BlueRidge Petroleum deal: shares and $50,000 for Sheridan County, plus an option on 80,871 acres. The records do not confirm that either deal completed. In May, all 4,800,000 warrants were exercised at $0.50, raising $2,400,000. In October, note holders agreed to extend maturity to September 30, 2014, conditional on a $5,000,000 financing, and received 250,000 shares. Shares on issue rose to 41,754,571 by the end of 2012.
2013: A quiet record
The record has no major disclosures for 2013 beyond what later filings reveal: note holders Mediapark and Soloman sued in October to force payment of the overdue notes, and shares on issue reached 51,156,175 by year end.
2014: Selling royalties and a restatement
On January 24, 2014 the company sold royalty and overriding interests held through JHE, in four Texas counties, for $2,000,000 cash, mostly to reduce debt and payables. JHE itself remained owned by the company. On February 28 it settled with Mediapark and Soloman, who had held notes originally of $1,375,000 each. It paid $500,000 to each and issued new 12% notes of $1,155,000 each, due December 31, 2014, guaranteed by JHE and secured on oil and gas properties, with 70% of any further JHE sale proceeds going to them. It also agreed to issue 2,500,000 shares and two-year warrants for 2,500,000 shares at $0.05 to each holder. Shares on issue reached 72,424,711 by the end of 2014.
On August 18, 2014 the company said its 10-Q for the quarter ended January 31, 2014 could no longer be relied on. The gain on the royalty sale was restated from $1,728,235 to $1,232,279, and nine-month net income from $1,089,117 to $231,187. An amended filing was expected. At that date, the company still owned JHE, owed the new notes due December 31, 2014, and had $1,500,000 of convertible notes due September 14, 2014 with status unstated.
