Barrel Energy took on a toxic-style note financing from Coventry Enterprises: a $150,000 note sold at a 10% discount for $125,000 net cash, repayable over 12 months, with harsh default terms (22% default interest, a 150% acceleration penalty, and conversion priced at 102% of the lowest trading price over the trailing 20 days). As additional consideration, it issued nearly 45 million commitment shares plus a near-costless pre-funded warrant for 5.1 million more - the kind of dilutive, distress-priced financing typically used when cheaper capital isn't available.
Three insiders - officers/directors James Kaltsas, Alfreddie Johnson and Willis Pumphrey Jr. - converted 750,000 shares of Series A Preferred Stock into 750,000,000 common shares (a 1,000-to-1 ratio), ballooning common shares outstanding from about 2.1 million to over 752 million. The company received no cash for the conversion; it was a pure insider dilution and control-consolidation move.
Following its 2022 deregistration (already noted in prior filings), Barrel Energy returned to SEC reporting status: it filed a Form 10 registration in February 2026 and engaged India-based Shah Teelani & Associates Chartered Accountants to audit its fiscal 2025 financials, replacing its prior (long-dormant) auditor Fruci & Associates II.
Fruci & Associates II was dismissed as auditor and RBSM LLP engaged; no disagreements were cited, though Fruci's most recent report had carried a going-concern qualification.
Barrel Energy announced a complete change of business direction: a 10-year lease of 602 acres in Tehama County, California from Crocker Acana, LLC to grow hemp, at $1,000/acre annual rent (about $602,000/year). A required county cultivation permit had been applied for but not yet obtained.
