23 Oct 2025business combination▲ GoodMajor
The AngloGold Ashanti merger closed at 12:01 a.m. Pacific on October 23, 2025. Every Augusta Gold share was converted into the right to receive C$1.70 in cash, without interest, and Augusta Gold is now an indirect wholly-owned subsidiary of AngloGold Ashanti plc. All former directors and officers resigned and AngloGold appointees took their place. OTCQB quotation is being ended, the TSX delisting was conditionally approved on September 15, 2025, and the company intends to file a Form 15 to stop SEC reporting. Payment goes through a letter of transmittal mailed by Computershare to registered holders within five business days. This resolves the merger thread from July 2025. In-the-money options and Taylor's 2024 warrants were cashed out at the spread. Options at or above C$1.70 under the 2021 plan get Black-Scholes value, and other options at or above C$1.70 were cancelled for nothing. The 2023 warrants (C$2.30 exercise price) now convert into C$1.70 and stay outstanding until January 2026 unless exercised. The filing does not say what happens to the Augusta Investments and Taylor notes.
18 Sept 2025business combination● NeutralMajor
Augusta Gold filed the final proxy statement for the October 20, 2025 special meeting on the AngloGold Ashanti merger, paying C$1.70 in cash per share, which the board unanimously recommends. Approval needs a majority of all outstanding voting power plus a majority of votes cast excluding certain related parties. The 31.5% held by directors, officers and Augusta Investments is already committed to vote in favour. If it closes, holders will no longer own shares in the company. This finalises the draft filed on August 25, 2025.
9 Sept 2025business combination● Neutral
Augusta Gold set October 20, 2025 as the date of the special meeting where stockholders will vote on the AngloGold Ashanti merger at C$1.70 per share in cash, with September 12, 2025 as the record date for who can vote. This fills in the meeting date left blank in the August preliminary proxy; the filing itself only gives the meeting logistics.
25 Aug 2025business combination▲ GoodMajor
Augusta Gold filed a preliminary proxy statement for the special meeting (date still blank) to vote on the AngloGold Ashanti merger at C$1.70 per share in cash. The board unanimously recommends voting for it. Directors, officers and Augusta Investments, together holding 31.5% of shares, have signed agreements to vote in favour and against rival proposals. Holders will not own shares in the surviving company if it closes. This is a draft and subject to completion.
6 Aug 2025debt financing● Neutral
Augusta Investments advanced US$1,050,000 (US$1.0M plus a $50,000 origination fee) on June 25, 2025, and US$3,150,000 (US$3.0M plus a $150,000 fee) effective July 31, 2025, added to its note. The money is to fund ordinary-course expenses until the AngloGold Ashanti acquisition closes; if the deal is terminated, the fees are credited toward interest due. The filing does not state the new total principal.
16 July 2025business combination▲ GoodMajor
Augusta Gold agreed to be acquired by AngloGold Ashanti subsidiaries in a merger, with each share converted into C$1.70 in cash. This resolves the strategic review announced in Sept 2024. Shares would be delisted from the TSX, dropped from the OTCQB and deregistered. Closing needs a stockholder vote (including a majority excluding certain related parties), no more than 5% dissenting shares and other conditions; there is no financing condition. A $3.6M termination fee is payable by Augusta Gold in certain cases, such as accepting a superior proposal, and the outside date is Feb 27, 2026. Options below C$1.70 and Taylor's warrants are cashed out at the spread.
3 July 2025debt financing● Neutral
The outside maturity date of Donald Taylor's amended and restated unsecured note was extended to October 31, 2025. No other terms changed.
1 May 2025debt financing▼ Bad
Augusta Investments lent another $500,000 on April 25, 2025, and the maturity of its note was extended from April 30, 2025 to November 30, 2025. The filing does not give the new principal total. This continues the pattern of add-on loans and extensions.
28 Mar 2025debt financing▼ Bad
Augusta Investments lent a further $250,000 effective March 20, 2025, taking its note to $30,601,339. Donald Taylor lent US$100,000 more, and his amended and restated note is now $362,500 (the original $262,500 plus the new $100,000), with otherwise the same terms. Both lenders continue funding the company.
31 Dec 2024debt financing▼ Bad
Augusta Investments lent another $250,000 on Dec 19, 2024, bringing its note to $30,351,339.03. The Dec 27 amendment also removes the requirement for disinterested shareholder approval before interest from Oct 1, 2024 becomes payable, which the Sept 30 amendment had imposed. Separately, CEO Donald Taylor's unsecured note maturity was extended to June 30, 2025.
5 Nov 2024debt financing▼ Bad
Augusta Investments lent the company another $250,000 on Oct 30, 2024, bringing the note's principal to $30,101,339.03. No other terms changed. The note continues to grow as the company draws on its largest shareholder.
2 Oct 2024debt financing▼ BadMajor
On Sept 30, 2024 the Augusta Investments note maturity was extended to April 30, 2025, with a $71,748 extension fee. The lender loaned $5,479,941.03, equal to all interest and fees through Sept 30, and the company immediately repaid that amount to the lender, so accrued interest was paid but the loan balance grew by the same amount. Interest after Oct 1 is not payable until disinterested shareholders approve it under TSX rules; if there is no approval by April 30, 2025, the lender can demand payment of the full principal. The maturity is later than the Feb 28, 2025 date mentioned in the Sept 5 release. Debt-to-equity conversion is not part of this filing.
30 Sept 2024resource reserve update● Neutral
The company furnished the full technical report for the Reward feasibility study (effective Sept 3, 2024, signed Sept 30, 2024), prepared by Kappes Cassiday & Associates with other qualified persons. This is the detailed document behind the Sept 5 results; the excerpt here does not add new figures.
6 Sept 2024resource reserve update▲ GoodMajor
The company announced a feasibility study for its 100%-owned Reward Project: 370,000 oz of gold in proven and probable reserves, all permits in place to start construction, pre-production capital of US$89.7M, and a US$127M after-tax NPV at US$2,400/oz gold. Reward previously had resources only and no reserves, so this is the first reserve figure for it. The same release says the company has started a strategic review that could include a sale of the company or its assets, a merger or a joint venture, and that it agreed in principle to extend the Augusta Investments loan to Feb 28, 2025. It is also considering converting some or all of that debt to equity, which would dilute shareholders; no decisions have been made on any of these.
3 Sept 2024debt financing▼ Bad
Augusta Investments lent the company a further $250,000 on Aug 28, 2024 (documented Sept 3), raising the note's principal to $24,599,251.60. No other terms changed. The company continues to draw on its largest shareholder's loan.
5 July 2024debt financing▼ Bad
On June 28, 2024 the company pushed the outside maturity of the Augusta Investments note from June 30 to Sept 30, 2024, in return for a $30,399 extension fee due at maturity and added to the principal. The principal is now $24,349,251.60 and the note stays outstanding with otherwise unchanged terms. This is another delay in repaying the lender.
29 Apr 2024debt financing▼ BadMajor
On Apr 26, 2024 Augusta Investments Inc. lent the company another US$1,500,000 under its secured note, which had been amended and restated on March 27, 2024. The note's principal is now $24,318,852.62, and no other terms changed. This continues the borrowing from the company's largest shareholder; the March 27 restatement itself is only referenced here, not described.
1 Mar 2024capital raising announcement▼ Bad
On Feb 26, 2024 the company borrowed US$262,500 from Donald Taylor (the director named as President & CEO in the context) on an unsecured note at 14% interest, maturing Dec 31, 2024, and issued him 300,000 five-year warrants at C$0.62 per share. It paid a US$12,500 origination fee and says the money is for general corporate purposes. The loan is a small new debt on top of the Augusta Investments note, and the warrants could add shares if exercised. The default terms mention rights under a 'Security Agreement', but the filing does not describe what that covers.
14 Dec 2023debt financing▼ BadMajor
The company extended the outside maturity of the US$22,232,561 Augusta Investments note from Dec 13, 2023 to March 31, 2024, for an extension fee of $33,501.12 accrued and due at maturity. The note remains outstanding and unchanged otherwise, so this is a second delay in repaying the lender that began as a 12-month loan in Sept 2022.
12 Oct 2023business combination● Neutral
The move from Delaware to Nevada approved in September took effect (effective time stated as Oct 11, 2023, 11:59 p.m. ET). Each share converted one-for-one, warrants and options carried over on the same terms, directors and officers stayed in place, and the Nevada company took on all of the old company's liabilities. The shares keep the same symbols (TSX: G, OTCQB: AUGG) and CUSIP. The filing notes some shareholder rights changed under Nevada law, referring to the proxy statement for details.
15 Sept 2023debt financing▼ BadMajor
The company amended the US$22,232,561 secured note to Augusta Investments Inc. (issued Sept 13, 2022), replacing the stated maturity with the earliest of 30 days after a lender demand, full repayment, or Dec 13, 2023. Nothing else in the note changed and it remains outstanding, so the debt was not repaid at the roughly 12-month mark and the Jan 2023 offering did not retire it by then.
8 Sept 2023business combination● Neutral
Shareholders approved moving the company's legal home from Delaware to Nevada at the Sept 7, 2023 annual meeting (45,356,010 votes for, 26,181 against). The filing says it will not change anyone's percentage ownership or share count, nor the business, management, assets or liabilities. The same meeting elected six directors (Richard Warke, Donald Taylor, Lenard Boggio, John Boehner, Daniel Earle, Poonam Puri) and reappointed Davidson & Company as auditor. The move was still subject to regulatory approvals and board discretion at this point.
14 July 2023resource reserve update● Neutral
The company re-released its Bullfrog Project resource report (effective date Dec 31, 2021) only to name Forte Dynamics, Inc. as the qualified firm instead of individual employees. The filing states there are no changes to the resource estimates and only minor typographical edits, so there is no new information on the project.
20 Jan 2023material agreement● NeutralMajor
The company closed the bought-deal offering announced on Jan 11, selling 6,725,147 units at Cdn$1.71 for about Cdn$11.5M gross, after the underwriters fully used their over-allotment option (the earlier plan was about Cdn$10.0M). Each unit carries one share and half a warrant at Cdn$2.30 until Jan 20, 2026, so up to 3,362,573 warrant shares plus 336,257 underwriter warrants at Cdn$1.71 (to Jan 2024) add to future dilution. The press release says net proceeds are intended for advancing the Bullfrog Project, working capital and general corporate purposes; it does not mention repaying the Augusta Investments note.
13 Jan 2023material agreement● NeutralMajor
On January 11, 2023 the company agreed to sell 5,847,954 units at Cdn$1.71 each in an underwritten 'bought deal' for gross proceeds of about Cdn$10.0M (about Cdn$8.78M net estimated), each unit being one share plus half a warrant exercisable at Cdn$2.30 for 36 months. The underwriters have a 30-day option for up to 877,193 more units, and receive a 5% cash commission and compensation warrants at Cdn$1.71. This adds new shares and warrants (dilution); the filing does not say how proceeds will be used, so whether it addresses the secured note to Augusta Investments is not stated.
19 Sept 2022asset acquisition disposition▼ BadMajor
On September 13, 2022 the company borrowed US$22,232,561 from Augusta Investments Inc. (the existing major shareholder group; the filing names it as lender, and earlier notices show it as a director-linked buyer of shares) through a secured note and used it to pay Waterton the second and deferred payments for Reward, ending its obligations to Waterton and releasing Waterton's security over Reward. The note bears interest at prime plus 3%, runs at most 12 months, is secured by a first-priority lien on all company assets and guaranteed by subsidiaries, and carries a 0.5% origination fee. The Waterton debt is replaced by debt to Augusta Investments that matures within a year.
7 July 2022resource reserve update▲ GoodMajor
The company received a technical report on the newly acquired Reward Project in Nye County, Nevada, with a May 31, 2022 effective date, estimating measured and indicated resources of 17.77 million tonnes at 0.75 g/t (426.7 thousand ounces of gold) plus inferred 1.23 million tonnes at 0.68 g/t (27.1 thousand ounces), at a $1,700/oz gold price. The filing states the project is exploration stage with no known mineral reserves.
7 July 2022asset acquisition disposition● Neutral
This amendment only adds the financial statements and pro forma figures for the CR Reward acquisition that the June 16 filing said would follow; all other disclosure is unchanged. The text shown includes CR Reward's audited 2021 statements (net loss $289,317, total assets $12.5M, asset retirement obligation about $1.17M); the pro forma exhibit is cut off, so its figures are not available here.
16 June 2022asset acquisition disposition● NeutralMajor
The company closed its purchase of CR Reward LLC (the Reward Project, seven miles from its Bullfrog Project) from Waterton on June 13, 2022, the deal first announced in April. It paid $12.5M cash and issued 7.8M shares at a deemed $1.33 each ($10.374M), and still owes a second payment (cash/shares, so that shares plus second payment total $15M) and a $17.5M cash deferred payment due within 90 days, secured by a first-priority deed of trust on CR Reward's mineral properties. The deemed share price is $1.33 versus the deemed C$1.70 noted when the deal was announced.
