Ameritrust completed the purchase of about 25,173 acres of vacant land in Lander County, Nevada on February 16, 2021 for a total price of $6,950,000. It paid part in cash and the balance with a $4,000,000 promissory note at 6.5% due February 16, 2023, and says it intends to develop the land into a cattle ranch exporting beef to China.
Ameritrust Corporation (formerly Gryphon Resources) reported that on August 28, 2020 it merged with Ameritrust Corporation, a Georgia corporation, with the Wyoming entity surviving. Georgia shareholders received one share per share held, and the filing describes the company as a real estate holding, developing and operating company, a different business from the earlier Arizona mineral options.
On January 21, 2011 Gryphon signed the binding Cruce option agreement, following through on the November 2010 letter of intent, on the same terms: US$265,000, at least US$335,000 of spending and 2,600,000 restricted shares over three years, plus a 3% royalty. It had already paid the first $40,000 and issued 100,000 shares.
On November 30, 2010 Gryphon signed a letter of intent for an option on the Cruce Property in south-central Arizona, from the same two vendors as the L.G. option. The planned terms are US$265,000 in payments, at least US$335,000 of spending and 2,600,000 restricted shares over three years, plus a 3% net smelter royalty; this was not yet a binding option agreement.
On September 27, 2010 Gryphon sold its 99% stake in APM Madencilik Ltd., a Turkish subsidiary, to Albus Holdings S.A. The buyer took on US$97,920.04 of APM's liabilities to third parties, and Gryphon forgave US$15,338.14 owed to it by APM and gave up all interest in APM's exploration claims.
Gryphon Resources took an option on July 19, 2010 to buy the L.G. Property, a mineral exploration property in south-eastern Arizona, from Noel Cousins and Steven Van Ert. Exercising it requires $240,000 in cash payments, at least $550,000 of spending on the property and 1,000,000 restricted shares, with further royalties and 1,000,000 more shares owed after exercise.
Gryphon Resources (the company's earlier name, before it became Ameritrust) replaced its auditor on March 3, 2008, dismissing Schumacher & Associates and hiring Madsen & Associates. The filing says there were no disagreements, and the earlier audit reports carried a going-concern uncertainty.
