The AleAnna merger closed: Swiftmerge became AleAnna, Inc., began trading on Nasdaq as ANNA/ANNAW, and issued roughly 65.1 million shares to AleAnna Energy's former owners - only 1.16 million shares were redeemed this time, a fraction of the 20+ million that had threatened to bail in 2023, finally completing a business combination nearly three years after the SPAC's IPO.
The AleAnna merger agreement was amended to tighten up closing conditions on paying SPAC-related expenses, drop a planned tax receivable agreement, and simplify the share-exchange mechanics, as the deal moved toward a shareholder vote.
Swiftmerge signed a new merger agreement, this time with AleAnna Energy, LLC - an Italian natural gas business - agreeing to domesticate as a Delaware company, rename itself AleAnna, Inc., and issue about 65.1 million shares to AleAnna's owners.
That extension meeting was itself adjourned by a few days, with more non-redemption agreements signed in the meantime to hold onto shareholder capital.
With no new target yet found, Swiftmerge scheduled another shareholder vote to extend its deadline again, once more lining up non-redemption agreements to keep investor cash from leaving.
The HDL Therapeutics merger fell apart: the two sides mutually terminated the agreement in February 2024 with no termination fee owed either way, leaving Swiftmerge back without a deal.
Swiftmerge had to restate its 2022 annual report and Q1 2023 financials after discovering it had kept a deferred underwriting fee on the books as a liability even after the underwriter waived it back in November 2022; the fix didn't affect cash but meant its disclosure controls hadn't been working properly.
Swiftmerge finally found a merger target: a $400 million deal to combine with HDL Therapeutics, Inc., a Delaware healthcare company, in a cash-and-stock transaction.
Ahead of the extension vote, holders of over 20.5 million Class A shares - roughly the entire public float - requested redemption at about $10.39/share, a mass exodus that Swiftmerge tried to soften by giving investors until June 19 to reverse their redemption requests.
Swiftmerge asked shareholders to push its deadline to complete a business combination out from June 2023 to March 2024, having not yet found a target more than 18 months after its IPO.
Ahead of a shareholder vote on extending its deadline to find a merger target, Swiftmerge signed non-redemption agreements with investors, promising them a resale registration and no lock-up in exchange for not cashing out their shares.
Nasdaq warned Swiftmerge it was out of compliance for filing its 2022 annual report late, giving it 60 days to submit a plan to regain compliance (with up to 180 days total).
Swiftmerge Acquisition Corp. (later AleAnna, Inc.) completed its $200 million IPO as a blank-check company, listing on Nasdaq (IVCPU/IVCP/IVCPW) with the proceeds held in trust to fund a future acquisition.
