Sitio's merger agreement with Viper sets the terms: each Sitio Class A share converts into 0.4855 shares of the new parent's Class A stock, and Sitio Class C shares are cancelled. Each Sitio Opco unit converts into 0.4855 Viper Opco units plus 0.4855 new parent Class B shares. Sitio holders would own about 20% of the new parent, which would take the Viper Energy name and keep Viper's board and executives. Closing needs Sitio and Viper stockholder approval, HSR antitrust clearance, an effective S-4 and Nasdaq listing, among other conditions. Viper's majority holder has already consented, Sitio's board unanimously recommended the deal, and Sitio agreed not to solicit rival offers (with an exception for a bona fide superior proposal before its stockholder vote).

After closing, former Viper and Sitio stockholders would own about 80% and 20% of the new parent on a fully diluted basis.
