20 Sept 2022material agreement▲ GoodMajor
Renascor signed a 40-year option-to-lease with SA Water over a 20-hectare site at Bolivar, north of Adelaide, for its graphite purification plant. Rent is set at market rates; the option can be exercised before 30 June 2025. This resolves the open downstream site selection.
Siviour Mineral Resource upgraded after the infill drilling: Measured plus Indicated rose 14% to 62.8Mt at 7.5% TGC (4.7Mt graphite); total resource is 93.5Mt at 7.3% TGC (6.9Mt). It will feed an improved pit design and reserve in the optimised study.
June quarter report recaps the Siviour drill assays and the north-western land access and option agreement. The optimised study continues. Cash was about $74m at 30 June 2022, up from $15.4m at 31 December 2021 after the placement.
Clarification that the access and option agreement is with Cambourn Pty Ltd, owner of the freehold land. It involved a payment Renascor does not consider material, for access and option rights over three years.
Renascor signed a land access and option agreement, with an option to buy, over freehold land north of the Siviour lease, covering the north-western extension of the Inferred Resource. Drilling there is expected this quarter, subject to rig availability and approvals.
Final assays from the 38-hole program include 25 metres at 13.7% TGC and 45 metres at 9.4% TGC, west of the current pit design. A revised Mineral Resource Estimate is expected this quarter, building on the June results.
Drilling at Siviour returned wide graphite intersections, such as 28 metres at 8.2% TGC and 25 metres at 8.4% TGC. Assays cover about half the program; the company expects they could support a higher resource confidence and a larger reserve.
The Share Purchase Plan closed with only $279,000 of applications, far below the $10m target; $126,500 came from holders possibly ineligible, to be issued as a placement. Cash is about $75m, and the $185m EFA loan remains conditional.
Share Purchase Plan booklet offers eligible Australian and New Zealand shareholders up to $30,000 of shares at $0.27, the same price as the placement. The offer opens 4 May and closes 17 May 2022. Administrative follow-on to the placement.
March quarter report recaps the A$185m conditional EFA loan, 65%+ milling yields, bulk PSG samples sent to offtake partners and the optimised study of capacity above 28,000tpa. It notes the $65m placement after quarter-end; pro-forma cash is $80m.
Renascor raised $65m through a placement of about 241m shares at $0.27, a 12.9% discount to last close, plus a Share Purchase Plan of up to $10m. Funds go to engineering, long-lead items and an expanded Stage 1; pro-forma cash is $80m.
What it means for a shareholder
241m new shares at A$0.270 to raise about A$65.0m. That's 11% dilution: every existing holder's slice gets 11% smaller. If you held A$1,000 of shares (3,704 at the issue price), your slice goes from 0.000197% to 0.000175% of the company. To keep it you'd need 475 more shares - about A$128 at the issue price.
Managing Director's presentation to the Battery Minerals Conference restating the Siviour project, the US$499m study value, offtake MOUs for up to 60,000tpa and the A$185m conditional EFA loan. It shows 1,907m shares and A$0.325 price (5 Apr 2022). No new results.
Project update: an optimised Siviour study, run by GR Engineering Services, is assessing capacity above 28,000tpa PSG plus staged expansions. EFA loan documents are targeted for mid-2022; PEPR talks continue, offtake price talks are active, and Renascor opposed a graphite purification patent application.
Half-year report to 31 December 2021 shows a loss of $853,315 (prior period $400,598), including a $198,898 exploration write-down. It recaps known Siviour progress: POSCO MOU, Major Project Status, PEPR lodgement, 65%+ milling yields and purification results.
S&P Dow Jones Indices announcement of March 2022 quarterly index changes. Renascor (RNU) is listed as an addition to the All Ordinaries effective 21 March 2022. No company operational or financial news.
Renascor finished a bulk campaign making large-scale purified spherical graphite samples from 63t of ore and sent them to existing and potential offtake partners for qualification. This is meant to support binding agreements; the MOUs for up to 60,000tpa remain non-binding.
Presentation on the A$185m conditional EFA loan, restating known project facts, non-binding offtake MOUs for up to 60,000tpa and a projected 2022 final investment decision. No new results or terms beyond the 2 February announcement.
Export Finance Australia conditionally approved an A$185m loan facility for Siviour under the $2bn Critical Minerals Facility, following 2020 in-principle support. Conditions, including EFA due diligence, are to be met alongside a planned 2022 final investment decision. It is not yet binding funding.
December quarter report recaps 65%+ milling yields, 99.99% purification, and the start of engineering design. POSCO due diligence is nearing completion with commercial terms under negotiation. Cash was about $15.4m at 31 December 2021, down from $16.1m.
Commercial-scale milling trials gave spherical graphite yields above 65%, up from the 60%+ reported in November and the 50% assumed in the July 2020 study. Data will feed engineering design and equipment selection; more PSG per tonne of concentrate could lift margins.
Locked-cycle purification trials by Dorfner ANZAPLAN confirmed the HF-free process, reaching up to 99.99% carbon against the 99.95% anode standard, with less reagent use than bench tests. This follows the November results and lets engineering of the purification plant begin.
