14 Oct 2016capital raising announcement● NeutralMajor
Bizzell Capital Partners will use its right to place up to 20m shares at $0.03 to raise up to $600,000. BCP, linked to chair Stephen Bizzell, intends to take part, subject to shareholder approval at the AGM. Funds go to Siviour and working capital.
What it means for a shareholder
20.0m new shares at A$0.030 to raise about A$600,000. That's 4.5% dilution: every existing holder's slice gets 4.5% smaller. If you held A$1,000 of shares (33,333 at the issue price), your slice goes from 0.0078% to 0.00745% of the company. To keep it you'd need 1,560 more shares - about A$47 at the issue price.
Appendix 4G and 2016 Corporate Governance Statement lodged alongside the annual report. Administrative compliance filing with no new information on the business.
2016 annual report recapping the year: the Arno graphite acquisition, the Siviour discovery, and the March resource of 16.8Mt at 7.4% TGC. Says a scoping study is expected later this year. Largely repeats known facts; no new results.
72% of the listed 3-cent options were exercised, raising $1,394,633 from 46.5m options. The underwriter placed the 17.87m-share shortfall at $0.03, adding $536,151, for about $1.93m total to accelerate Siviour development and working capital.
Full-year statutory accounts for the year to 30 June 2016, opening with the directors' report and director biographies. The text provided is truncated and shows no financial figures, so no new information can be stated here. Same content is released in the annual report on 12 October.
Notice to holders of the listed 3-cent options, which expire 30 September 2016. Quotation ceases 26 September. Holders can exercise, sell or let them lapse; the underwriter will cover unexercised options. Shares closed at 3.7 cents on 31 August. Routine required notice.
Renascor signed an underwriting deal with Bizzell Capital Partners, linked to chair Stephen Bizzell, guaranteeing $1.9m from the 3-cent options expiring 30 September. BCP may also place up to $600,000 of shares by 14 October, with fees of 6% and 5%. This resolves the open question of funding after option expiry.
Renascor exercised its option to buy the remaining 51% of Eyre Peninsula Minerals, which holds the option over the Arno graphite project, taking it from 49% to 100%. Payment is 42.07m shares (valued $2.04m) and 15m $0.05 options, subject to shareholder approval at the AGM.
Final assays from the 31-hole program show thick shallow graphite east of the Indicated Resource (e.g. 35m at 8.7% TGC) and confirm at least 1km of continuity to the west. A revised JORC resource is expected after modelling, which could expand the current 16.8Mt.
First assays from 14 western holes at Siviour give the highest grades yet, up to 26.0% TGC, and confirm the graphite body extends at least 1km west of the Indicated Resource. Remaining assays are due within two weeks, then resource modelling begins.
Siviour reverse circulation program of 31 holes (2,100m) finished; by visual inspection 21 of 23 western holes hit significant graphite, and six of eight eastern holes did too. Suggests the mineralised body extends about 1km west and two zones about 1km east. Assays pending.
June quarter report recapping Siviour diamond assays (up to 20.5% TGC) and the EM survey. Cash was about $815,000 at 30 June, excluding $589,000 received 11 July from a $1.3m capital raising completed that month. No new results.
