Effective April 1, 2022, PHX moved its legal home from Oklahoma to Delaware by merging into a Delaware subsidiary of the same name. Each Class A share converted one-for-one into a share of common stock of the Delaware company, with the same $0.01666 par value, and the filing says business, assets, management and directors are unchanged. Shareholders' rights are now governed by Delaware law and new charter documents that the filing says may have anti-takeover effects, including a 66-2/3% vote for mergers or asset sales unless two-thirds of the board approves first.
