27 July 2007capital raising announcement▼ Bad
On June 1, 2007 Pacific Copper signed consulting agreements with Sweetwater Capital (24 months, $4,000 a month plus 1,000,000 restricted shares), and with Greatrek Trust and Scharfe Holdings (15 months each, 1,000,000 restricted shares each). The 3,000,000 shares were issued up front but are earned in four installments between December 2007 and September 2008, and unearned shares must be returned if an agreement ends early. This adds share dilution for existing holders.
25 Apr 2007material agreement● NeutralMajor
Pacific Copper signed agreements to buy two companies still to be formed, one holding Peruvian mineral claims (for 4,850,000 shares) and one holding Chilean claims (for 6,150,000 shares), with closing expected around June 11, 2007, and paid $25,000 toward each formation. The filing says the claims are at an early exploration stage and the company does not consider them significant to its business at this date; if the Chile deal closes, Harold Gardner would become a director and CEO/COO, and David Hackman and Eduardo Esteffan would join the board if the Peru deal closes.
