Amendment No. 2 set out the deal's amendment history: a first amendment on 5 June 2024 that stretched the outside date to 270 days from signing and inserted the Nevada redomestication, and a second on 8 August that pushed the outside date to 31 October 2024 and rewrote the definitions of "Company Merger Shares" and "Net Debt" -- the two terms that decide how many shares New Era's owners actually receive. It also conceded that no commitments or definitive agreements for the transaction financing had been signed.

Amendment No. 1 restructured the transaction: a redomestication merger was put in front of it, moving Roth CH V out of Delaware into a newly formed Nevada holding company so the parent would share New Era Helium's home state. It also recorded that New Era had told the blank-cheque company in late May it was working toward raising at least $45 million in a private placement, and showed the deferred underwriting fee as a share of the shrinking public float at each redemption level.

Roth CH Acquisition V, a blank-cheque company with roughly $17.5 million left in trust after earlier redemptions, registered the shares for its merger with New Era Helium, which holds the mature Pecos Slope gas field in New Mexico and intends to build its own processing plant there. New Era's owners take a fixed 9,000,000 shares, adjusted by a tenth of a share for every dollar its net debt lands above or below $37.3 million -- about 41.5% of the company, against 15.4% for the sponsor and only 7.3% for the blank-cheque company's remaining public shareholders, whose trust was worth about $11.06 a share.
