7 Dec 2017director officer appointment● NeutralMajor
Exploration Manager Jess Oram becomes CEO and executive director from 1 January 2018 on $233,235 a year, filling the long-vacant CEO role. Tony Sage's executive chairman role ends 31 December 2017 as Okewood can no longer provide it; he becomes non-executive chairman.
September quarter: cash $2.6m. The Court of Appeal win over Forrest is reported, and the second passive seismic program ended mid-quarter with results being built into the exploration model. A review of historical work on the tenements continued. The AGM is set for 23 November 2017.
Avira Energy transferred 16,949,176 Cauldron shares to Joseph Energy (Hong Kong), a nominee of Joseph Capital, ending its $500,000 convertible note. This is Avira's transaction and does not change Cauldron's share count. Cauldron's own role is not described.
Administrative notice: 8,474,588 shares, the ones the receiver sold from the Guangzhou City holding, will be released from voluntary escrow on 4 October 2017.
Appendix 4G for the year to 30 June 2017: the corporate governance statement is on the company website and approved by the board. Administrative filing lodged with the annual report; no new information.
Annual report for the year to 30 June 2017. Directors are Tony Sage (executive chairman), Qiu Derong, Judy Li, Nicholas Sage and Chenchong Zhou. The auditor is BDO. The extracted text does not include the financial results.
The Court of Appeal unanimously dismissed Forrest & Forrest's appeal over Cauldron's applications E08/2385-87 and ordered Forrest to pay Cauldron's legal costs. This resolves the dispute that has been open since September 2016. The licences are still applications, not granted.
June quarter: cash fell to $3.3m. The WA Government announced on 20 June 2017 a ban on uranium mining on future Mining Leases, and Cauldron is seeking clarification before deciding whether to continue uranium exploration. A second passive seismic program began. The CSIRO leach study phase 1 is complete.
CSIRO's first-stage study found Bennet Well uranium leaches well by in-situ recovery, with acid leach extracting more than alkali. Second-phase work to support the field leach trial has not started. The 30.9Mlb resource is unchanged. The chairman's 'low cost producer' view is his opinion.
Chenchong Zhou joined the board as a non-executive director from 2 May 2017, and Xinyi Zhang, who joined on 1 January 2017, resigned. Mr Zhou holds no shares or options. The notice gives no reason for the change.
March quarter: cash $4.0m after a $0.9m R&D refund. The Bennet Well radiation management plan was approved and the field leach trial Program of Works submitted. The new Labor WA government's stance on uranium work is unclear, a risk to the plan.
The receiver sold the Guangzhou City shares issued in December, recovering $169,492 before costs toward the outstanding judgment debt. Adds to the $488,000 net recovered in July 2016; the balance of the $1m plus interest remains unpaid.
Nicholas Sage joined the board as a non-executive director and Mark Gwynne resigned, both effective 20 February 2017. Nicholas Sage also sits on the board of Fe Limited.
Half-year to 31 December 2016: loss of $1,238,735, versus $2,066,368 a year earlier. Covers the $2.5m placement and the Guangzhou judgment-debt share issue. Also notes 1.56m shares issued at $0.05 to a consultant.
December quarter: the $2.5m placement was completed and shares and options issued after AGM approval. Passive seismic showed palaeochannel extensions and new targets at Bennet Well. Field leach tests remain due in the June 2017 quarter, and the Marree divestment is completed.
44,000,000 unlisted options at $0.138 lapsed unexercised on 31 December 2016, including MGT Resources' 20m. Unlisted options now stand at 20m (the new $0.08 placement options).
Ms Xinyi Zhang will join as a non-executive director from 1 January 2017. This is likely the additional director promised with the Chinese placement (an inference; the text does not say so).
Administrative notice: 33,898,318 shares, those the receiver sold from Guangzhou City's holding in July 2016, will be released from voluntary escrow on 5 January 2017.
Cauldron issued 8,474,588 shares to Guangzhou City, satisfying the original 2014 placement agreement, with a holding lock and the receiver reappointed over them to realise the remaining judgment debt. Shares on issue now 329.3m. Recovery of the balance continues.
Cauldron confirmed it has received the full $2.5m under the placement (31.25m shares at $0.08). Shares will be issued only if shareholders approve at the 24 November 2016 AGM.
What it means for a shareholder
31.3m new shares at A$0.080 to raise about A$2.5m. That's 10% dilution: every existing holder's slice gets 10% smaller. If you held A$1,000 of shares (12,500 at the issue price), your slice goes from 0.00461% to 0.00413% of the company. To keep it you'd need 1,441 more shares - about A$115 at the issue price.
September quarter: cash $2.12m, plus $1.49m held in trust. The $2.5m placement budget condition was met and payment dates varied. Passive seismic results at Bennet Well were positive, field leach trials are due in the June 2017 quarter, and Marree divestment is in progress.
Cauldron signed a $2.5m placement with a new Chinese investor: 31.25m shares at $0.08, plus 20m options at $0.08 expiring 31 December 2018. Subject to investor budget approval and shareholder approval at the AGM; an extra director will be appointed. Funds go to Bennet Well.

Forrest & Forrest has appealed the Supreme Court decision to the WA Court of Appeal. No hearing date is set, so the three licence applications remain unresolved and the earlier win is now open to challenge.
Supreme Court of WA dismissed Forrest & Forrest's judicial review of the Minister's decision to progress Cauldron's three Yanrey-region exploration licence applications (lodged April 2012), with costs awarded to Cauldron. A step toward grant, not a grant itself.
